OwlU Terms of Service

These Terms of Service (the “Terms”) form an agreement between Leanagilehungry Inc. (“OwlU”, “us”, “we” or “our”) and you or the Entity you represent (“you” or “your”). Leanagilehungry Inc. is the creator of Owlu.
Please read these Terms carefully as they govern your access to and use of our websites (each, a “Site”); our products and services, including mobile and desktop applications (“Apps”), application programming interfaces (“APIs”), and software development kits (“SDKs”). References to the “Services” in these Terms collectively refer to all our products and services, including, when applicable, the Sites, Apps, APIs, and SDKs.
PLEASE BE AWARE THAT SECTION 12 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND OWLU. AMONG OTHER THINGS, SECTION 12 INCLUDES AN AGREEMENT TO ARBITRATE (“ARBITRATION AGREEMENT”) WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 12 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE READ SECTION 12 CAREFULLY.
UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT WITHIN 30 DAYS: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US THROUGH BINDING, FINAL ARBITRATION, WITH LIMITED EXCEPTIONS, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR OTHER REPRESENTATIVE PROCEEDING OR CLASS-WIDE ARBITRATION; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.
If you are a user in the European Economic Area (“EEA“), or any other country that does not allow such an arbitration agreement, Sections 12.1-12.8 do not apply to you.
IF YOU SUBSCRIBE TO A PAID SUBSCRIPTION TO THE SERVICES, SUCH PAID SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION AS YOUR INITIAL SUBSCRIPTION PERIOD AT OWLU’S THEN-CURRENT FEES FOR SUCH SUBSCRIPTION UNLESS YOU CANCEL OR DECLINE TO RENEW YOUR SUBSCRIPTION IN ACCORDANCE WITH SECTION 8.8 BELOW.
1. Your Acceptance of these Terms
These Terms become effective from the date you sign up for a OwlU account, access our Services, or otherwise indicate that you accept the Terms, whichever happens first. You agree that you are not barred from using the Services under the laws of the United States, your place of residence, or any other applicable jurisdiction. If you are accepting these Terms on behalf of a company, organization, or other legal entity (an “Entity”), you agree that: (i) you have full legal authority to bind the Entity to these Terms, and (ii) all references to “you” and “your” in these Terms will refer to that Entity, unless we indicate otherwise. By checking the box indicating your acceptance of these Terms during sign-up or by accessing or using this Site or any of our Services, you agree to be bound by these Terms. If you do not accept these Terms, please refrain from accessing or using the Services.
2. Our Modification of these Terms
Subject to Section 12.8 below, we may make changes to these Terms at our discretion. If we make changes, we will notify you either by email or through the Services at least thirty (30) days before the changes take effect. We will also post the updated version of the Terms on our Site and change the “Last Updated” date at the top of these Terms to indicate when the changes took effect. It is important for you to regularly review these Terms for any modifications. Continuing to access or use the Services after this new date means you accept the updated Terms. If you disagree with the new Terms, you must cease accessing and using the Services.
3. Your Use of the Services
3.1. Permitted Use.
Subject to your compliance with these Terms, OwlU hereby grants to you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use our Service, and where necessary, install and use any software provided by us. You acknowledge that the Services and any related software are provided to you on a subscription basis; they are not being sold to you. If you are an Entity, you must only access and use our Services for internal business purposes.
3.2. Eligibility.
You may only use our Services if you are old enough to consent (by yourself and not by a parent or guardian) to share your data under applicable law. For example, you must be at least 13 years old under most United States law, or 16 years old under European Union law. If the law where you reside requires that you be older for us to lawfully provide the Services to you without parental consent (including using your information), you must meet that age requirement. The Services are administered by Leanagilehungry Inc. from our offices in the Republic of Korea. We make no representation that the Services are appropriate or available for use in other locations, including the European Economic Area (EEA). Those who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
3.3. Account Creation & Management.
3.3.1. Account Credentials.
To access our Services, you may be required to create an online account (“Account”) with access credentials assigned to or chosen by you (“Credentials”). Your Credentials are unique to you and must not be shared with other persons, entities, or end users, except as permitted by these Terms. You are responsible for all activities undertaken using your Credentials. You are responsible for maintaining the confidentiality of your Credentials and must notify us promptly of any actual or suspected unauthorized use of your Credentials. We reserve the right to terminate any Credentials that we reasonably determine may have been accessed or used by an unauthorized third party. We strongly recommend enabling two-factor authentication for added security for your Credential Account.
3.3.2. Responsibility for Multi-User Accounts.
When you create an Account that includes multiple end users (a “Multi-User Account”), you are responsible for ensuring they comply with these Terms. If you are an individual operating under a Multi-User Account, we will handle your User Content and process your personal information as instructed by the administrator of that Multi-User Account, unless otherwise prohibited by applicable law.
3.3.3. School and Work Email Addresses.
If you are an individual and you create an Account using an email address that belongs to your employer, school, or other group, such as a church or sports team (an “Organization”), your use of our Services under that Account is subject to that Organization’s control. As such, you acknowledge that the Organization may access, view, restrict, merge, or terminate your Account (each, an “Account Control Action”). For instance, if you initially registered your Account with an email address provided by your Organization and that Organization subsequently purchases a Subscription to our Services, we may merge your Account with the Organization’s Account at their request, and after which, your use of our Services will be subject to the terms applicable to the Organization’s Account.
3.3.4. Account Deletion.
If you no longer wish to use our Services and would like to delete your Account, please proceed with the account deletion process via the Account Deletion (or Delete Account) menu in the Application. If you experience any difficulties completing the account deletion process, please contact us at jay@owlu.site. Please note that once you delete your Account, you will not be able to reactivate it or retrieve any content or information associated with it.
3.4. Restrictions on Use; Compliance.
You agree that, as a condition of using our Services, you and, if applicable, your end users, will not, and will not encourage or assist any third parties to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services (except to the extent that such a restriction is impermissible under applicable law); (ii) provide, sell, resell, transfer, sublicense, lend, distribute, or rent the Services, or otherwise allow others to access or use the Services; (iii) copy, modify, create derivative works of, or remove proprietary notices from the Services; or (iv) circumvent any technical limitations implemented by us, or (v) violate our Acceptable Use Policy. You agree to comply with all applicable export and import laws in accessing and using the Services. You represent and warrant that you are not listed on any United States government list of prohibited or restricted parties or located in (or a national of) a country subject to a United States government embargo or designated by the United States government as a “terrorist supporting” country (as applicable to you as an individual or an Entity). You agree that you will not submit any data to the Services that is controlled under the United States International Traffic in Arms Regulations.
3.5. Processing of Personal Information.
If you open an Account on behalf of an Entity, we will process your personal information and that of the end users of that Account in accordance with our Data Privacy Addendum, and we and you agree to comply with its terms, as applicable. In such cases, the Entity is responsible for providing any legally required notices and obtaining any necessary consents for us to provide our Services to the Entity’s end users. If you have opened an Account as an individual (i.e., not on behalf of an Entity), OwlU’s Privacy Policy will govern the processing of personal information about you, and if applicable, the end users associated with your Account. You can export or delete your User Content, including your personal information, at any time while you have an Account by following the steps detailed in the Data Privacy Addendum (if you are acting on behalf of an Entity) or the Privacy Policy (if you are an individual).
International Data Transfers. OwlU is based in the Republic of Korea. To p rovide the Services, we may transfer, store, and process your personal information and User Content in the United States and other countries where our third-party infrastructure providers (such as Amazon Web Services, Google Cloud Platform, and MongoDB Atlas) maintain facilities. By using the Services, you acknowledge and consent to this international transfer, storage, and processing of your data. You understand that the data protection laws in the United States and other jurisdictions may differ from, and may not be as protective as, those in your country of residence.
3.6. Reservation of Rights.
As between OwlU and you, OwlU owns all intellectual property rights in the Services (including all OwlU-created Enhancements), Beta Services, Documentation, and Usage Data. Except as expressly stated herein, these Terms do not grant you any rights, implied or otherwise, to our intellectual property. The visual interfaces, graphics, design, information, data, computer code (including source code or object code), and all other elements of the Services (the “Materials”) provided by us are protected by all relevant intellectual property and proprietary rights and applicable laws. All Materials contained in our Services are the property of OwlU or our third-party licensors, and we reserve all rights to them. Except as expressly authorized by us under these Terms, you are not permitted to make use of the Materials. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services or the Materials.
3.7. Feedback and Usage Data.
If you provide us with any suggestions, enhancement requests, recommendations, or other feedback regarding our Services, we may use that feedback without restriction or any further obligation to you. We may also collect and analyze data relating to your access and use of our Services (“Usage Data”). Examples of Usage Data include, but are not limited to, technical logs, metadata, telemetry data, and usage information about User Content, such as how often it is accessed.
3.8. Changes to the Service.
We may modify or discontinue any feature, functionality, or component of our Services at any time (a “Services Update”). If we believe a Services Update may significantly impair your use of our Services, we will use reasonable efforts to notify you before making such Services Update by either sending an email to the email address associated with your Account or via an in-product notification.
4. Your Use of AI Features
4.1. AI-Generated Content.
Depending on your Membership Status, you may be able to use generative AI features within our Services that allow you to input prompts and other text (“Inputs”) and receive AI-generated outputs (“Outputs”). When you use our generative AI features, your Inputs and the resulting Outputs are your User Content. Notwithstanding the foregoing, you acknowledge that other users of our Services may, through no fault of OwlU, use inputs that are similar to yours and, as a result, receive the same or similar outputs as your Outputs. Outputs generated for other users based on their inputs are not considered your User Content.
4.2. Usage Limits; Add-Ons.
Depending on your Membership Status, you may have limits on your use of our generative AI features. If you exceed your Subscription Plan’s usage limits, we may require you to purchase additional capacity or units to continue accessing and using the generative AI features of the Services. Any additional generative AI capacity or units that you purchase (i) will be tied to your then-current Subscription, (ii) are not transferable to another Account, and (iii) will not be refunded to you upon expiry or termination of your Subscription.
4.3. AI Usage Restrictions.
Your use of our generative AI features must comply with these Terms, including the restrictions and obligations imposed upon you in Section 3.4 (Restrictions on Use; Compliance). You also must not use our generative AI features i) in a way that infringes, violates, or misappropriates any of our rights or the rights of any third party, or ii) to develop foundation or large language models that compete with our Services.
5. Your Use of Integrations
5.1. Integrations Generally.
If you access or use any third-party product or service that interoperates with our Services (a “Third-Party Service”), your use of such a Third-Party Service is solely governed by the terms of service, end user license agreement, privacy policies, and/or any other applicable terms and policies of the third-party providing the Third-Party Service. You acknowledge that the Third-Party Service might access or use your User Content, and you permit us to transmit your User Content to the provider of the Third-Party Service as necessary for the Third-Party Service to interoperate with our Services. You acknowledge and agree that OwlU is not responsible for any harms, damages, loss, lost profits, special or consequential damages, or claims arising out of or in connection with the installation of, use of, or reliance on any such Third-Party Service.
5.2. Within OwlU service.
OwlU's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
6. Your Use of Beta Services
We may occasionally provide you with access to new service offerings that are still in development (“Beta Services”). You may choose to use these Beta Services at your sole discretion. We will label Beta Services as “alpha,” “beta,” “early access,” or something similar within our Services, on our Sites, or in the Documentation. Beta Services may have additional terms that apply to them. In using the Beta Services, you agree to comply with all terms related to the Beta Services that we provide to you. If we do not provide any additional terms, then you agree that the restrictions imposed on you with respect to our Services that are contained in Section 3.4 (Restrictions on Use; Compliance) of these Terms will apply to the Beta Services. You acknowledge that Beta Services may not be as secure or reliable as our Services. We are under no obligation to provide support for Beta Services or to make them generally available. We may, in our sole discretion, change the functionality of the Beta Services and/or discontinue, suspend, or remove your access to such Beta Services (including any data that you input or store within the Beta Services). NOTWITHSTANDING ANYTHING ELSE STATED IN THESE TERMS, OWLU WILL HAVE NO LIABILITY ARISING OUT OF OR IN CONNECTION WITH BETA SERVICES.
7. Ownership and License of User Content
7.1. Ownership of User Content.
In connection with your use of our Service, you and your end users (if applicable) may upload and/or create certain content, text, output, and documents to and through the Service, including text and images displayed within an application window (“User Content”). OwlU makes no representation or warranty as to whether Output is protectable by intellectual property rights under applicable law.
7.2. License to User Content.
To provide our Services to you, we need your permission (i.e., a license) to use your User Content. You grant us a worldwide, non-exclusive, royalty-free license to your User Content that allows us to use, store, reproduce, publish, and publicly display (to show your User Content to you or other users as you may specify), modify, and create derivative works from it (such as writing suggestions and autocorrecting words) for the limited purposes of:
(i). Operating, providing, improving, troubleshooting, and debugging our Services;
(ii). Protecting our Services (for example, to analyze patterns in usage to prevent abuse);
(iii). Customizing our Services (for example, to create personalized suggestions for you);
(iv). Developing new products or adding features for our Services (for example, creating our tone detector); and
(v). Account management (for example, using information you upload or provide to us, such as your name, to encourage other people within your Organization to join your Organization’s Account).
The above license lasts as long as intellectual property laws protect your User Content, and it also permits our service providers to assist us in performing these limited purposes.
8. Fees, Billing, and Payment
OwlU does not currently offer paid plans or subscription-based pricing. This information will apply if and when you use one of our subscription plans in the future.
8.1. Subscriptions and Billing.
We offer free and paid subscriptions to our Services (respectively, “Free Subscriptions” and “Paid Subscriptions”, and collectively, “Subscriptions”). Pricing and included features for the Subscriptions are set forth here (“Subscription Plan(s)”). For Paid Subscriptions, we will bill you in advance on a recurring monthly or annual basis, as applicable for the selected Subscription Plan (“Billing Cycle”).
8.2. Upgrades.
You may have the option to upgrade your existing Subscription Plan to a higher subscription tier for access to additional features and functionality of our Services. When you upgrade your Subscription Plan, we will automatically bill you from the date the subscription tier upgrade takes effect and on each subsequent applicable Billing Cycle until you cancel your then-current Subscription Plan (see Section 8.8 below for how to cancel).
8.3. Authorization for Recurring Payments.
To access a Paid Subscription, you will be required to provide us with your credit card information (“Payment Method”). By providing a Payment Method, you are authorizing us to charge your Payment Method on a monthly, annual, or pay-as-you-go basis, or as otherwise applicable, for the fees associated with the selected Subscription Plan. The Payment Method you provide must be valid and kept current by you. By providing us with a Payment Method, you represent and warrant that you are authorized to use such Payment Method. We will begin billing your Payment Method for the Paid Subscription on the day that you are given access to the Services, regardless of whether you have fully configured or started using the Services as of that date.
8.4. Third-Party Payments Processor.
OwlU uses Stripe, Inc. and its affiliates as its third-party service provider for payment services (e.g., card acceptance, merchant settlement, and related services) (“Third-Party Payments Processor”). If you make a purchase on the Services, you will be required to provide your payment details and any additional information required to complete your order directly to our Third-Party Service Provider. You agree to be bound by Stripe’s Privacy Policy (currently accessible at https://stripe.com/us/privacy) and its Terms of Service (currently accessible at https://stripe.com/ssa) and hereby consent and authorize OwlU and Stripe to share any information and payment instructions you provide with one or more Third-Party Payments Processor(s) to the minimum extent required to complete your transactions. Please note that online payment transactions may be subject to validation checks by our Third-Party Payments Processor and your card issuer, and we are not responsible if your card issuer declines to authorize payment for any reason. For your protection, our Third-Party Payments Processor uses various fraud prevention protocols and industry-standard verification systems to reduce fraud, and you authorize it to verify and authenticate your payment information. Your card issuer may charge you an online handling fee or processing fee. We are not responsible for this. In some jurisdictions, our Third-Party Payments Processor may use third parties under strict confidentiality and data protection requirements for the purposes of payment processing services.
8.5. Taxes.
The stated fees for Paid Subscriptions are exclusive of any taxes or similar governmental assessments of any nature, including, for example, value-added, sales, use, or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”). You will be responsible for paying all Taxes associated with your Paid Subscription, except for taxes based on our net income. Should any payment for our Services be subject to withholding tax by any government, you will reimburse us for such withholding tax.
8.6. Fee Changes.
We may change the fees for our Services and associated Subscription Plans at our discretion, but we will give you advance notice before those changes take effect. Any fee changes will apply to your next Billing Cycle.
8.7. Promotional Offers.
We may offer special promotional offers, plans, or trial subscriptions from time to time at our discretion (“Offer”). Offer eligibility will be determined by us at our sole discretion, and we reserve the right to revoke or end an Offer at any time. You agree that we may use your information, such as device ID, Payment Method, and the name and email address associated with the Account, to determine your eligibility for the Offer. The eligibility requirements and other limitations and conditions will be disclosed when you sign up for the Offer or in other communications we make to you.
8.8. Subscription Cancellation.
You may cancel your Subscription at any time . If you need help to cancel your Subscription, please feel free to contact jay@owlu.site our Customer Care team and indicate your desire to cancel your Subscription. Following cancellation of a Paid Subscription, (i) you will continue to have access to that Paid Subscription through the end of your then-current Billing Cycle (except with respect to Services that are subject to usage-based billing), (ii) at the end of that current Billing Cycle, your Account will be converted to a Free Subscription, and (iii) all future payments for your Paid Subscription will be canceled. We acknowledge that some countries have mandatory local laws regarding your cancellation rights, and this section does not override those laws.
8.9. Account Communications.
You agree that OwlU may contact you at any time by email, push notifications, or other method with information relevant to your Subscription, billing, and use of the Services.
8.10. No Refunds.
To the fullest extent permitted by applicable law, all payments made by you under these Terms are non-refundable and payment obligations are non-cancelable, and we do not provide refunds or credits for any partially used Subscription periods or unused consumption or capacity.
8.11. Overdue Fees.
If any fees owed by you for a Paid Subscription are overdue by 30 days or more, we may (i) limit functionality of our Services, (ii) suspend our provision of our Services to you, or (iii) convert your Paid Subscription to a Free Subscription, until such overdue amounts are paid in full.
9. Suspension, Termination, and Survival
9.1. Term.
The term of these Terms commences on the date when you accept these Terms (as described in the preamble above) and continues in full force and effect while you use the Services, unless terminated earlier in accordance with these Terms.
9.2. Effect of Termination.
Upon termination of the Services or the applicable feature or functionality thereof, your right to use the Services or the applicable feature or functionality will automatically terminate, and we may delete User Content from our live databases. If we terminate your Account for cause, we may also bar your further use or access to the Services. OwlU will not have any liability whatsoever to you for any suspension or termination, including for deletion of User Content.
9.3. Suspension and Termination.
We reserve the right to suspend or terminate your access to our Services and/or your Account if: (a) You have breached these Terms or our Acceptable Use Policy, (b) You use our Services in a manner that would cause a real risk of harm or loss to other OwlU users or us, or (c) You have a Free Subscription and you haven’t accessed the Services for at least 12 consecutive months. Before suspending or terminating your access to the Services and/or Account for one of the issues outlined immediately above, we will provide you with reasonable advance notice via the email address associated with your Account so that you have an opportunity to remedy the issue. If you fail to promptly remediate the issue after such notice, we will, at our discretion, either suspend or terminate your access to our Services and/or your Account. Notwithstanding the foregoing, we will not provide you advance notice before suspension or termination where we believe that (x) you are in material breach of these Terms or our Acceptable Use Policy, (y) doing so would cause us legal liability or compromise our ability to provide our Services to our other users, or (z) the law prohibits us from doing so. We may terminate these Terms at any time without liability to you.
9.4. Survival.
Upon expiry or termination of these Terms or your Account for any reason, all the sections within these Terms that one would reasonably expect to survive will survive, including, but not limited to, “Warranty Disclaimers,” “Limitation of Liability,” “Arbitration and Dispute Resolution Agreement,” “Miscellaneous Legal Terms,” “Reservation of Rights,” “Fees, Billing and Payment,”, and “Ownership and License of User Content”. Termination does not cancel or otherwise affect any amounts owed by you before the termination took effect.
10. Warranty Disclaimers
10.1. General Disclaimer.
THE SERVICES ARE PROVIDED TO YOU ON AN “AS IS,” AND “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, OWLU AND OUR AFFILIATES, SUPPLIERS, AND DISTRIBUTORS (COLLECTIVELY, THEY ARE THE “OWLU ENTITIES”) DO NOT WARRANT THAT THE OPERATION OF THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR BE ERROR-FREE. OWLU AND THE OWLU ENTITIES EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. SOME JURISDICTIONS MAY PROHIBIT A DISCLAIMER OF WARRANTIES, AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.
10.2. Outputs Disclaimer.
OWLU AND THE OWLU ENTITIES DO NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE OUTPUTS THAT MAY BE GENERATED FROM USE OF GENERATIVE AI FEATURES, INCLUDING WITH RESPECT TO THE FACTUAL ACCURACY OF ANY OUTPUTS OR SUITABILITY FOR YOUR USE-CASE. ALL OUTPUTS ARE PROVIDED “AS IS” AND WITH “ALL FAULTS.” YOU UNDERSTAND AND AGREE THAT YOUR USE OF ANY GENERATIVE AI OUTPUTS IS DONE AT YOUR SOLE RISK. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF ANY OUTPUTS, INCLUDING ANY POTENTIAL COPYRIGHT INFRINGEMENT CLAIMS FROM THIRD PARTIES OR ANY DISCLOSURE OF YOUR OUTPUTS THAT PERSONALLY IDENTIFIES YOU OR ANY THIRD PARTY. DUE TO THE CURRENT NATURE OF GENERATIVE AI TECHNOLOGY, YOU SHOULD NOT RELY ON OWLU’S GENERATIVE AI AS A SINGLE SOURCE OF FACTUAL INFORMATION. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM OR THROUGH OWLU OR THE OWLU ENTITIES WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SERVICES AND ANY OUTPUT COMPLIES WITH ALL APPLICABLE LAWS.
10.3. Owlu Email Client Disclaimer and Release.
OWLU AND THE OWLU ENTITIES DO NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE INFORMATION THAT YOU RECEIVE FROM OWLU OR OTHERWISE OBTAIN ABOUT THE RECIPIENTS OF YOUR EMAILS SENT USING THE SERVICES (“PERSONAL INSIGHTS”). OWLU AND THE OWLU ENTITIES ARE NOT RESPONSIBLE FOR THE ACCURACY, AVAILABILITY, OR RELIABILITY OF ANY PERSONAL INSIGHTS. FURTHER, YOU ACKNOWLEDGE AND AGREE THAT OWLU AND THE OWLU ENTITIES DO NOT CONTROL THE CONTENT YOU TRANSMITTED USING THE SERVICES (“EMAIL CONTENT”) OR WHAT DIRECT AND DOWNSTREAM RECIPIENTS OF THAT EMAIL CONTENT (COLLECTIVELY, “RECIPIENTS”), MAY DO WITH SUCH EMAIL CONTENT (INCLUDING FORWARDING ON SUCH EMAIL CONTENT). YOU AGREE THAT OWLU AND THE OWLU ENTITIES WILL HAVE NO LIABILITY, AND HEREBY RELEASE OWLU FROM ANY LIABILITY, ARISING FROM (I) USE OR RELIANCE ON PERSONAL INSIGHTS AND (II) ANY ACT OR OMISSION OF ANY RECIPIENT WITH RESPECT TO EMAIL CONTENT.
11. Limitation of Liability
11.1. Limitation on Liability Amounts.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OWLU AND THE OWLU ENTITIES' TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE TERMS EXCEED THE AMOUNT THAT YOU HAVE PAID IN FEES TO OWLU OR THE OWLU ENTITIES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT(S) GIVING RISE TO SUCH LIABILITY. HOWEVER, IF THAT AMOUNT IS ZERO BECAUSE YOU HAVE A FREE SUBSCRIPTION, OWLU AND THE OWLU ENTITIES’ TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
11.2. Limitations on Types of Damages.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OWLU AND THE OWLU ENTITIES’ BE LIABLE TO YOU OR OTHERWISE RESPONSIBLE FOR (I) ANY LOST PROFITS, LOST OR DAMAGED USER CONTENT OR OTHER DATA, OR FAILURE TO MEET ANY DUTY, INCLUDING WITHOUT LIMITATION GOOD FAITH AND REASONABLE CARE, AND (II) ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER.
11.3. Basis of the Bargain; Limitation Beneficiaries; As Permitted Under Local Laws.
YOU AGREE THAT THE LIMITATIONS OF LIABILITY CONTAINED IN SECTIONS 11.1 AND 11.2 REPRESENT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND OWLU (OR IF APPLICABLE, THE RELEVANT OWLU ENTITIES). YOU UNDERSTAND OUR SERVICES WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS. YOU FURTHER AGREE THAT THE OWLU ENTITIES ARE INTENDED THIRD-PARTY BENEFICIARIES OF SECTION 11. CERTAIN COUNTRIES AND US STATES DO NOT ALLOW THE LIMITATION OF CERTAIN TYPES OF DAMAGES OR DAMAGE AMOUNTS. IN CASES WHERE THAT IS APPLICABLE, YOU AGREE THAT OWLU AND THE OWLU ENTITIES’ LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMISSIBLE UNDER THE LAW APPLICABLE TO THESE TERMS.
12. Arbitration and Dispute Resolution Agreement
If you’re upset with us, let us know, and we’ll work together in good faith to resolve your issue. If we can’t resolve it, then you and OwlU agree to submit our disputes exclusively to binding individual arbitration, and we won’t sue each other in court before a judge or jury, except in the limited circumstances described below. This Section 12 (the “Arbitration Agreement”) applies to the fullest extent allowable by law.
12.1. Disputes We’ll Arbitrate
You and OwlU agree to mandatory individual arbitration for all claims arising out of or relating in any way to: your access to or use of the Services, the Apps, or the Site; these and prior versions of the Terms; any products, data, or content bought, sold, offered, accessed, displayed, transmitted, or listed through the Services, the Apps, or the Site; and any actions or statements by OwlU, in each case including disputes that arose before the effective date of these Terms (each, a “Dispute”).
Exceptions. We each may:
- bring qualifying individual claims in small claims court, so long as those claims remain in small claims court; and
- seek injunctive relief in court for infringement or misuse of intellectual property rights.
All other Disputes must be arbitrated, which means you and OwlU are each waiving the right to sue in court and to have a court or jury trial.
12.2. Informal Dispute Resolution
Before filing an arbitration, you and OwlU will try in good faith to resolve any Dispute informally.
Notice of Dispute. To start the dispute process, you must send an individualized written notice (“Notice of Dispute”) to jay@owlu.site or by regular mail to:

Your Notice of Dispute must include:
- your name, phone number with country code, the email address for your account, and your username; and
- a description of the Dispute and how you would like it resolved.
If OwlU has a Dispute with you, we will send a Notice of Dispute with the same information to the email address associated with your account. The Notice of Dispute must be signed by the party initiating the Dispute (i.e., either you personally or an OwlU representative).
Informal Resolution Period. Once a complete Notice of Dispute has been received, the recipient has 60 days to investigate the claims. If either side requests a settlement conference during this period, you and OwlU must cooperate to schedule a meeting by phone or videoconference. You and OwlU will personally participate and may each bring counsel, but the conference must be individualized, even if the same firm(s) represent multiple parties.
For the claims in the Notice of Dispute, any statute of limitations will be tolled from the date the notice is received until the later of: (i) 60 days, or (ii) completion of a timely requested settlement conference (the “Informal Resolution Period”).
No arbitration may be filed until the Informal Resolution Period has ended, and a court may enjoin the filing or prosecution of an arbitration in breach of this Section 12.2.
12.3. Waiver of Class and Other Non-Individualized Relief
You and OwlU agree that each of us may bring claims against the other only on an individual basis, and not on a class, representative, or collective basis (and we each waive any right we have to bring such claims). We may only seek or obtain individualized relief, and Disputes between us cannot be arbitrated or consolidated with those of any other person or entity, except as provided in Section 12.6 (Mass Arbitration; Batching).
If there is a final decision (after exhaustion of all appeals) that any part of this Section 12.3 is unenforceable as to a particular claim or request for relief, then only that particular claim or request for relief will be severed from arbitration and may be litigated in state or federal courts located in the United States that have jurisdiction, including (at the claimant’s election): (a) the courts located in the county where the claimant resides, or (b) the courts located in San Francisco County, California (but only after the arbitrator issues an award on the arbitrable claims and remedies).
This Section 12.3 does not prevent you or OwlU from participating in a class-wide or mass settlement of claims.
12.4. Rules, Forum, and Procedure (Including Small Claims Exception)
Small Claims Exception. Notwithstanding anything to the contrary in this Arbitration Agreement, either you or OwlU may bring an individual action in a small claims court in the county (or equivalent) where you reside (if you are a U.S. resident) or in San Francisco County, California, provided that the dispute qualifies for and remains in small claims court and proceeds only on an individual basis.
Governing law for arbitration. The Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the “FAA”), will govern the interpretation and enforcement of this Arbitration Agreement.
Arbitration provider and rules. To initiate arbitration, either you or OwlU must file a demand for arbitration with the American Arbitration Association (“AAA”) in accordance with the AAA Consumer Arbitration Rules and Mediation Procedures then in effect, as supplemented, where applicable, by the AAA’s Mass Arbitration Supplementary Rules (and any applicable AAA fee schedules) (collectively, the “AAA Rules”), and as modified by this Arbitration Agreement.
Service of demand. You must serve OwlU with any arbitration demand by email to jay@owlu.site and by regular mail to:

If OwlU has a dispute with you, OwlU will send an arbitration demand to the email or mailing address associated with your account.
If AAA cannot administer. If AAA cannot or will not administer the arbitration in accordance with this Section 12, you and OwlU will select another arbitration provider. If we cannot agree, a court of competent jurisdiction will appoint the provider.
Format and location. The arbitration will be conducted in the English language by a single arbitrator. Unless otherwise agreed by the parties or ordered by the arbitrator:
(i) if the amount in dispute is less than $25,000, the arbitration will be documents-only (no in-person or telephonic hearing); and
(ii) if the amount in dispute is $25,000 or more, the arbitration will be held by videoconference with no in-person hearing.
If an in-person hearing is required, it will be held in the county where you live (for U.S. residents) or at another location determined by the arbitrator as necessary for fairness or efficiency (including in the case of Mass Arbitration batching).
Arbitrator authority. The arbitrator will have exclusive authority to resolve any Dispute, including disputes regarding the interpretation or application of the Arbitration Agreement, including enforceability, revocability, scope, or validity, except that all Disputes regarding the subsection entitled “Waiver of Class and Other Non-Individualized Relief,” including any claim that all or part of that subsection is unenforceable, illegal, void or voidable, or that such subsection has been breached, will be decided by a court of competent jurisdiction and not by an arbitrator.
Relief. Except as provided in Section 12.6 (Mass Arbitration; Batching), the arbitrator may award damages and other relief only in favor of the individual claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim(s). The arbitrator will not be bound by decisions reached in other arbitrations.
Finality. The arbitrator’s award is final and binding on you and OwlU, and judgment on the award may be entered in any court with jurisdiction.
12.5. Arbitration Fees
Payment of all filing, case-management, administrative, hearing, and arbitrator fees (collectively, “Arbitration Fees”) will be governed by the AAA Rules and applicable AAA fee schedules, unless otherwise stated in this Arbitration Agreement.
Consistent with the AAA Consumer fee schedule, OwlU will pay the Arbitration Fees required of the business, and you will be responsible only for the consumer filing fee (if any) required by the AAA, unless the AAA Rules or the arbitrator provide otherwise.
Each party will bear its own attorneys’ fees and costs, except to the extent an applicable law or the arbitrator’s award provides otherwise.
12.6. Mass Arbitration; Batching
To ensure efficient resolution of Disputes, if within any 90-day period twenty-five (25) or more claimants submit Notices of Dispute and/or file demands for arbitration raising similar claims (i.e., with similar facts and legal issues) against OwlU, and those claimants are represented by the same or coordinated counsel (a “Mass Arbitration”), then the parties agree that the arbitration(s) will be administered in accordance with the AAA’s Mass Arbitration Supplementary Rules, as incorporated into this Arbitration Agreement.
Batches. Unless the parties agree otherwise in writing, the claims in a Mass Arbitration will proceed in batches of up to one hundred (100) claimants per batch (each, a “Batch”). The AAA will administer each Batch with a single arbitrator (or process arbitrator, if applicable under the AAA Mass Arbitration Supplementary Rules), one set of Arbitration Fees per Batch, and one hearing (if any) per Batch, which will be conducted by videoconference unless the arbitrator determines that an in-person hearing is necessary for fairness or efficiency.
Administration and process determinations. The parties will cooperate in good faith to implement the Batch process and minimize time and costs. Any disputes regarding whether a filing or set of filings qualifies as a Mass Arbitration, how claims should be batched, or other administrative determinations will be resolved in the manner provided by the AAA Mass Arbitration Supplementary Rules, including through a process arbitrator where applicable.
Severability. If this Section 12.6 is deemed unenforceable as to a particular claimant or Batch, then it will be severed only as to that claimant or Batch, and the remaining claim(s) will proceed in arbitration on an individual basis under the AAA Rules, unless the parties agree otherwise.
Effect of invalidity. If a court of competent jurisdiction determines that the Batch procedure described in this Section 12.6 is invalid or unenforceable in a manner that prevents the AAA from administering a Mass Arbitration consistent with this Arbitration Agreement, then the parties agree that the affected claims will proceed as individual arbitrations under the AAA Consumer Arbitration Rules, unless the parties agree to a different efficient process consistent with the AAA Rules.
12.7. 30-Day Right to Opt Out
If you are a new user of our Services, you can opt out of this Arbitration Agreement (excluding Section 12.9) within 30 days after you first accept the Terms. To opt out, you must send a timely email to jay@owlu.site with your name, the email address for your account, your username, and a request to opt out of this Arbitration Agreement.
Any opt-out notice will be effective only if you send it yourself, on an individual basis, and opt-out notices from any third party purporting to act on your behalf will have no effect on your or OwlU’s rights.
If you validly opt out, neither OwlU nor you will be required to arbitrate as a result of this (or any prior version of the) Arbitration Agreement, but the Terms (and any other agreements between us) will otherwise apply to you. Your opt-out notice will have no effect on prior versions of the arbitration clause to which you have agreed.
12.8. Modification
OwlU will notify you of material changes to this Arbitration Agreement at least 30 days before they become effective. You may reject future changes to the Arbitration Agreement by emailing jay@owlu.site within 30 days after you receive notice, including your name, email address associated with your account, and username.
Otherwise, you’ll be bound by the change, and the modified Arbitration Agreement will apply to all Disputes between you and OwlU, including those arising before the effective date of the changes, but excluding any claims pending in arbitration (or court, if permitted) as of the effective date.
If you reject a change, you’ll be bound by the most recent version of the Arbitration Agreement before the change you rejected.
12.9. Choice of Law and Forum
OwlU is based in Gwangju, Republic of Korea, and OwlU provides the Services to users in the United States and other countries.
If there are claims between you and OwlU that are not subject to arbitration (including claims that a court determines are not arbitrable), then, except as described in the Small Claims Exception above, you and OwlU agree to litigate those claims exclusively in state or federal courts located in the United States that have jurisdiction, including (at the claimant’s election): (a) the courts located in the county where the claimant resides (for U.S. residents), or (b) the courts located in San Francisco County, California, and each party agrees to submit to the personal jurisdiction of those courts.
Small claims. If you file an eligible claim in small claims court, you may do so in the county (or equivalent) of your residence, and OwlU will also bring any eligible small claims action against you only in the county (or equivalent) where you reside.
Governing law. Except as prohibited by law, these Terms will be governed by:
(i) the laws of the State of California, without regard to conflict-of-law rules; and
(ii) applicable U.S. federal law, including the Federal Arbitration Act (to the extent applicable to this Arbitration Agreement).
Opt-out clarification. For clarity, this Section 12.9 will continue to apply even if you validly opt out of arbitration under Section 12.7.
EEA and other restricted jurisdictions. If you are a resident in a member state of the EEA or in a country in which the Arbitration Agreement in this Section 12 is prohibited by local law, you may be entitled to invoke mandatory consumer protection laws of your country of residence, and/or to bring legal proceedings in the courts of that country. If OwlU needs to enforce its rights against you as an individual consumer in the EEA, we will do so only in your country of residence.
CISG excluded. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
13. Miscellaneous Legal Terms
13.1. Entire Agreement.
These Terms, including the terms herein that are incorporated by reference, constitute the entire agreement between you and OwlU regarding our Services. They supersede any prior agreements between us.
13.2. Waiver, Severability, and Conflicting Terms.
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Subject to Sections 12.3 and 12.6 above, if a provision is unenforceable, the remaining provisions will remain in full effect, and an enforceable term will be substituted with the goal of reflecting our intent as closely as possible. If there is a conflict between the documents referenced in these Terms, the documents will control in the following order, as applicable: the Acceptable Use Policy, the Data Privacy Addendum (if applicable); the Privacy Policy (if applicable); these Terms; and then the Documentation.
13.3. Third-Party Beneficiaries.
Except where expressly stated, these Terms do not confer any benefits on any third party.
13.4. Assignment.
You may not assign any of your rights or obligations under these Terms, and any such attempt will be void. We may assign or otherwise transfer our rights and/or obligations without restriction, including assigning to any of our affiliates or subsidiaries or any successor in interest of any business associated with the Services.
13.5. Force Majeure.
We will not be liable by reason of any failure or delay in the performance of our obligations on account of events beyond our reasonable control, which may include, but are not limited to, denial-of-service attacks, a failure by a third-party hosting provider or utility provider, acts of God, pandemics, acts of civil or military authorities, riots or civil disobedience, zombie apocalypse, wars, strikes or labor disputes.
13.6. Open Source.
To the extent any component of our software may be offered under open-source license terms (see here) for the lists of the open-source software that we use), the provisions of open-source licenses that we make available to you may expressly override some of the terms within these Terms. In addition, certain code distributed in and as part of the platform used to provide the Services may be licensed under or include components subject to open-source software licenses. Notwithstanding the foregoing, any use of open-source software as part of the Services must comply with these Terms.
13.7. Government.
Where applicable to United States government customers and end users, the Services are “commercial computer software” or a “commercial item” for purposes of FAR 12.212 and DFARS 227.7202. To the extent permitted within these Terms, use, reproduction, release, modification, disclosure, or transfer of the Services is governed solely by these Terms, and all other use is prohibited.
13.8. Notice.
Where OwlU requires that you provide an email address, you are responsible for providing OwlU with a valid and current email address. In the event that the email address you provide to OwlU is not valid, or for any reason is not capable of delivering to you any notices required by these Terms, OwlU’s dispatch of the email containing such notice will nonetheless constitute effective notice. Such notice shall be deemed given when received by OwlU by letter delivered by nationally recognized overnight delivery service or first class postage prepaid mail at the above address.
13.9. Copyright Policy; DMCA.
We respect artist and content owner rights, and it is our policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 (“DMCA”). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Services, please notify us. UNDER FEDERAL LAW, IF YOU KNOWINGLY MISREPRESENT THAT ONLINE MATERIAL IS INFRINGING, YOU MAY BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY AND CIVIL PENALTIES, INCLUDING MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS’ FEES. Please note that this procedure is exclusively for notifying us and our affiliates that your copyrighted material has been infringed. The preceding requirements are intended to comply with our rights and obligations under the DMCA, including 17 U.S.C. §512(c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other applicable laws. In accordance with the DMCA and other applicable law, we have adopted a policy of terminating the Accounts of users who are deemed to be repeat infringers. We may also at our sole discretion limit access to the Services and/or terminate any subscriptions of any user of the Services who infringes any intellectual property rights of others, whether or not there is any repeat infringement.
14. Additional Terms for Mobile Applications
14.1. Mobile Applications.
We may make available Apps to access the Services via a mobile device (which, for simplicity, will include tablets or other devices that make use of the mobile application) (“Mobile Applications”). To use any Mobile Applications, you must have a mobile device that is compatible with the Mobile Applications. We do not warrant that the Mobile Applications will be compatible with your mobile device. You may use mobile data in connection with the Mobile Applications and may incur additional charges from your wireless provider for these services. You agree that you are solely responsible for any such charges. We hereby grant you a non-exclusive, non-transferable, revocable license to use a compiled code copy of the Mobile Applications for one Account on mobile devices owned or leased solely by you, for your personal use. You acknowledge that we may, from time to time, provide updated versions of the Mobile Applications, and may automatically electronically update the version of the Mobile Applications that you are using on your mobile device. You consent to such automatic updating on your mobile device, and agree that the Agreement will apply to all such updates. Any third-party code that may be incorporated in the Mobile Applications is covered by the applicable open source or third-party license EULA, if any, authorizing use of such code. The foregoing license grant is not a sale of the Mobile Applications or any copy thereof, and we or our third-party partners or suppliers retain all right, title, and interest in the Mobile Applications (and any copy thereof). Any attempt by you to transfer any of the rights, duties or obligations hereunder, except as expressly provided for in these Terms, is void. We reserve all rights not expressly granted under these Terms.
14.2. Mobile Applications from Apple App Store.
The following applies to any Mobile Applications acquired from the Apple App Store (“Apple-Sourced Software”): you acknowledge and agree that these Terms are made and entered into solely between you and OwlU, not Apple, Inc. (“Apple”) and that Apple has no responsibility for the Apple-Sourced Software or content thereof. Your use of the Apple-Sourced Software must comply with the App Store Terms of Service. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Apple-Sourced Software. In the event of any failure of the Apple-Sourced Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Apple-Sourced Software (if any); to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Apple-Sourced Software, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by these Terms and any law applicable to us as provider of the software. You acknowledge that Apple is not responsible for addressing any claims by you or any third party relating to the Apple-Sourced Software or your possession and/or use of the Apple-Sourced Software, including, but not limited to: (a) product liability claims; (b) any claim that the Apple-Sourced Software fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation; and all such claims are governed solely by these Terms and any law applicable to us as provider of the software. You acknowledge and agree that, in the event of any third-party claim that the Apple-Sourced Software or your possession and use of that Apple-Sourced Software infringes that third party’s intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. You and we acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of the Agreement as relates to your license of the Apple-Sourced Software, and that, upon your acceptance of the terms and conditions that make up these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms as relates to your license of the Apple-Sourced Software against you as a third-party beneficiary thereof.
14.3. Mobile Applications from Google Play Store.
The following applies to any Mobile Applications you acquire from the Google Play Store (“Google-Sourced Software”): (i) you acknowledge that these Terms are made and agreed to as between you and OwlU only, and not with Google, Inc. (“Google”); (ii) your use of Google-Sourced Software must comply with Google’s then-current Google Play Store Terms of Service; (iii) Google is only a provider of the Google Play Store where you obtained the Google-Sourced Software; (iv) OwlU, and not Google, is solely responsible for its Google-Sourced Software; (v) Google has no obligation or liability to you with respect to Google-Sourced Software or these Terms; and (vi) you acknowledge and agree that Google is a third-party beneficiary to the Terms as it relates to our Google-Sourced Software.

These Terms of Service (the “Terms”) form an agreement between Leanagilehungry Inc. (“OwlU”, “us”, “we” or “our”) and you or the Entity you represent (“you” or “your”). Leanagilehungry Inc. is the creator of Owlu.
Please read these Terms carefully as they govern your access to and use of our websites (each, a “Site”); our products and services, including mobile and desktop applications (“Apps”), application programming interfaces (“APIs”), and software development kits (“SDKs”). References to the “Services” in these Terms collectively refer to all our products and services, including, when applicable, the Sites, Apps, APIs, and SDKs.
PLEASE BE AWARE THAT SECTION 12 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND OWLU. AMONG OTHER THINGS, SECTION 12 INCLUDES AN AGREEMENT TO ARBITRATE (“ARBITRATION AGREEMENT”) WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 12 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE READ SECTION 12 CAREFULLY.

If you are a user in the European Economic Area (“EEA“), or any other country that does not allow such an arbitration agreement, Sections 12.1-12.8 do not apply to you.
IF YOU SUBSCRIBE TO A PAID SUBSCRIPTION TO THE SERVICES, SUCH PAID SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION AS YOUR INITIAL SUBSCRIPTION PERIOD AT OWLU’S THEN-CURRENT FEES FOR SUCH SUBSCRIPTION UNLESS YOU CANCEL OR DECLINE TO RENEW YOUR SUBSCRIPTION IN ACCORDANCE WITH SECTION 8.8 BELOW.
1. Your Acceptance of these Terms
These Terms become effective from the date you sign up for a OwlU account, access our Services, or otherwise indicate that you accept the Terms, whichever happens first. You agree that you are not barred from using the Services under the laws of the United States, your place of residence, or any other applicable jurisdiction. If you are accepting these Terms on behalf of a company, organization, or other legal entity (an “Entity”), you agree that: (i) you have full legal authority to bind the Entity to these Terms, and (ii) all references to “you” and “your” in these Terms will refer to that Entity, unless we indicate otherwise. By checking the box indicating your acceptance of these Terms during sign-up or by accessing or using this Site or any of our Services, you agree to be bound by these Terms. If you do not accept these Terms, please refrain from accessing or using the Services.
2. Our Modification of these Terms
Subject to Section 12.8 below, we may make changes to these Terms at our discretion. If we make changes, we will notify you either by email or through the Services at least thirty (30) days before the changes take effect. We will also post the updated version of the Terms on our Site and change the “Last Updated” date at the top of these Terms to indicate when the changes took effect. It is important for you to regularly review these Terms for any modifications. Continuing to access or use the Services after this new date means you accept the updated Terms. If you disagree with the new Terms, you must cease accessing and using the Services.
3. Your Use of the Services
3.1. Permitted Use.
Subject to your compliance with these Terms, OwlU hereby grants to you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use our Service, and where necessary, install and use any software provided by us. You acknowledge that the Services and any related software are provided to you on a subscription basis; they are not being sold to you. If you are an Entity, you must only access and use our Services for internal business purposes.
3.2. Eligibility.
You may only use our Services if you are old enough to consent (by yourself and not by a parent or guardian) to share your data under applicable law. For example, you must be at least 13 years old under most United States law, or 16 years old under European Union law. If the law where you reside requires that you be older for us to lawfully provide the Services to you without parental consent (including using your information), you must meet that age requirement. The Services are administered by Leanagilehungry Inc. from our offices in the Republic of Korea. We make no representation that the Services are appropriate or available for use in other locations, including the European Economic Area (EEA). Those who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
3.3. Account Creation & Management.
3.3.1. Account Credentials.
To access our Services, you may be required to create an online account (“Account”) with access credentials assigned to or chosen by you (“Credentials”). Your Credentials are unique to you and must not be shared with other persons, entities, or end users, except as permitted by these Terms. You are responsible for all activities undertaken using your Credentials. You are responsible for maintaining the confidentiality of your Credentials and must notify us promptly of any actual or suspected unauthorized use of your Credentials. We reserve the right to terminate any Credentials that we reasonably determine may have been accessed or used by an unauthorized third party. We strongly recommend enabling two-factor authentication for added security for your Credential Account.
3.3.2. Responsibility for Multi-User Accounts.
When you create an Account that includes multiple end users (a “Multi-User Account”), you are responsible for ensuring they comply with these Terms. If you are an individual operating under a Multi-User Account, we will handle your User Content and process your personal information as instructed by the administrator of that Multi-User Account, unless otherwise prohibited by applicable law.
3.3.3. School and Work Email Addresses.
If you are an individual and you create an Account using an email address that belongs to your employer, school, or other group, such as a church or sports team (an “Organization”), your use of our Services under that Account is subject to that Organization’s control. As such, you acknowledge that the Organization may access, view, restrict, merge, or terminate your Account (each, an “Account Control Action”). For instance, if you initially registered your Account with an email address provided by your Organization and that Organization subsequently purchases a Subscription to our Services, we may merge your Account with the Organization’s Account at their request, and after which, your use of our Services will be subject to the terms applicable to the Organization’s Account.
3.3.4. Account Deletion.
If you no longer wish to use our Services and would like to delete your Account, please proceed with the account deletion process via the Account Deletion (or Delete Account) menu in the Application. If you experience any difficulties completing the account deletion process, please contact us at jay@owlu.site. Please note that once you delete your Account, you will not be able to reactivate it or retrieve any content or information associated with it.
3.4. Restrictions on Use; Compliance.
You agree that, as a condition of using our Services, you and, if applicable, your end users, will not, and will not encourage or assist any third parties to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services (except to the extent that such a restriction is impermissible under applicable law); (ii) provide, sell, resell, transfer, sublicense, lend, distribute, or rent the Services, or otherwise allow others to access or use the Services; (iii) copy, modify, create derivative works of, or remove proprietary notices from the Services; or (iv) circumvent any technical limitations implemented by us, or (v) violate our Acceptable Use Policy. You agree to comply with all applicable export and import laws in accessing and using the Services. You represent and warrant that you are not listed on any United States government list of prohibited or restricted parties or located in (or a national of) a country subject to a United States government embargo or designated by the United States government as a “terrorist supporting” country (as applicable to you as an individual or an Entity). You agree that you will not submit any data to the Services that is controlled under the United States International Traffic in Arms Regulations.
3.5. Processing of Personal Information.
If you open an Account on behalf of an Entity, we will process your personal information and that of the end users of that Account in accordance with our Data Privacy Addendum, and we and you agree to comply with its terms, as applicable. In such cases, the Entity is responsible for providing any legally required notices and obtaining any necessary consents for us to provide our Services to the Entity’s end users. If you have opened an Account as an individual (i.e., not on behalf of an Entity), OwlU’s Privacy Policy will govern the processing of personal information about you, and if applicable, the end users associated with your Account. You can export or delete your User Content, including your personal information, at any time while you have an Account by following the steps detailed in the Data Privacy Addendum (if you are acting on behalf of an Entity) or the Privacy Policy (if you are an individual).
International Data Transfers. OwlU is based in the Republic of Korea. To p rovide the Services, we may transfer, store, and process your personal information and User Content in the United States and other countries where our third-party infrastructure providers (such as Amazon Web Services, Google Cloud Platform, and MongoDB Atlas) maintain facilities. By using the Services, you acknowledge and consent to this international transfer, storage, and processing of your data. You understand that the data protection laws in the United States and other jurisdictions may differ from, and may not be as protective as, those in your country of residence.
3.6. Reservation of Rights.
As between OwlU and you, OwlU owns all intellectual property rights in the Services (including all OwlU-created Enhancements), Beta Services, Documentation, and Usage Data. Except as expressly stated herein, these Terms do not grant you any rights, implied or otherwise, to our intellectual property. The visual interfaces, graphics, design, information, data, computer code (including source code or object code), and all other elements of the Services (the “Materials”) provided by us are protected by all relevant intellectual property and proprietary rights and applicable laws. All Materials contained in our Services are the property of OwlU or our third-party licensors, and we reserve all rights to them. Except as expressly authorized by us under these Terms, you are not permitted to make use of the Materials. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services or the Materials.
3.7. Feedback and Usage Data.
If you provide us with any suggestions, enhancement requests, recommendations, or other feedback regarding our Services, we may use that feedback without restriction or any further obligation to you. We may also collect and analyze data relating to your access and use of our Services (“Usage Data”). Examples of Usage Data include, but are not limited to, technical logs, metadata, telemetry data, and usage information about User Content, such as how often it is accessed.
3.8. Changes to the Service.
We may modify or discontinue any feature, functionality, or component of our Services at any time (a “Services Update”). If we believe a Services Update may significantly impair your use of our Services, we will use reasonable efforts to notify you before making such Services Update by either sending an email to the email address associated with your Account or via an in-product notification.
4. Your Use of AI Features
4.1. AI-Generated Content.
Depending on your Membership Status, you may be able to use generative AI features within our Services that allow you to input prompts and other text (“Inputs”) and receive AI-generated outputs (“Outputs”). When you use our generative AI features, your Inputs and the resulting Outputs are your User Content. Notwithstanding the foregoing, you acknowledge that other users of our Services may, through no fault of OwlU, use inputs that are similar to yours and, as a result, receive the same or similar outputs as your Outputs. Outputs generated for other users based on their inputs are not considered your User Content.
4.2. Usage Limits; Add-Ons.
Depending on your Membership Status, you may have limits on your use of our generative AI features. If you exceed your Subscription Plan’s usage limits, we may require you to purchase additional capacity or units to continue accessing and using the generative AI features of the Services. Any additional generative AI capacity or units that you purchase (i) will be tied to your then-current Subscription, (ii) are not transferable to another Account, and (iii) will not be refunded to you upon expiry or termination of your Subscription.
4.3. AI Usage Restrictions.
Your use of our generative AI features must comply with these Terms, including the restrictions and obligations imposed upon you in Section 3.4 (Restrictions on Use; Compliance). You also must not use our generative AI features i) in a way that infringes, violates, or misappropriates any of our rights or the rights of any third party, or ii) to develop foundation or large language models that compete with our Services.
5. Your Use of Integrations
5.1. Integrations Generally.
If you access or use any third-party product or service that interoperates with our Services (a “Third-Party Service”), your use of such a Third-Party Service is solely governed by the terms of service, end user license agreement, privacy policies, and/or any other applicable terms and policies of the third-party providing the Third-Party Service. You acknowledge that the Third-Party Service might access or use your User Content, and you permit us to transmit your User Content to the provider of the Third-Party Service as necessary for the Third-Party Service to interoperate with our Services. You acknowledge and agree that OwlU is not responsible for any harms, damages, loss, lost profits, special or consequential damages, or claims arising out of or in connection with the installation of, use of, or reliance on any such Third-Party Service.
5.2. Within OwlU service.
OwlU's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
6. Your Use of Beta Services
We may occasionally provide you with access to new service offerings that are still in development (“Beta Services”). You may choose to use these Beta Services at your sole discretion. We will label Beta Services as “alpha,” “beta,” “early access,” or something similar within our Services, on our Sites, or in the Documentation. Beta Services may have additional terms that apply to them. In using the Beta Services, you agree to comply with all terms related to the Beta Services that we provide to you. If we do not provide any additional terms, then you agree that the restrictions imposed on you with respect to our Services that are contained in Section 3.4 (Restrictions on Use; Compliance) of these Terms will apply to the Beta Services. You acknowledge that Beta Services may not be as secure or reliable as our Services. We are under no obligation to provide support for Beta Services or to make them generally available. We may, in our sole discretion, change the functionality of the Beta Services and/or discontinue, suspend, or remove your access to such Beta Services (including any data that you input or store within the Beta Services). NOTWITHSTANDING ANYTHING ELSE STATED IN THESE TERMS, OWLU WILL HAVE NO LIABILITY ARISING OUT OF OR IN CONNECTION WITH BETA SERVICES.
7. Ownership and License of User Content
7.1. Ownership of User Content.
In connection with your use of our Service, you and your end users (if applicable) may upload and/or create certain content, text, output, and documents to and through the Service, including text and images displayed within an application window (“User Content”). OwlU makes no representation or warranty as to whether Output is protectable by intellectual property rights under applicable law.
7.2. License to User Content.
To provide our Services to you, we need your permission (i.e., a license) to use your User Content. You grant us a worldwide, non-exclusive, royalty-free license to your User Content that allows us to use, store, reproduce, publish, and publicly display (to show your User Content to you or other users as you may specify), modify, and create derivative works from it (such as writing suggestions and autocorrecting words) for the limited purposes of:
(i). Operating, providing, improving, troubleshooting, and debugging our Services;
(ii). Protecting our Services (for example, to analyze patterns in usage to prevent abuse);
(iii). Customizing our Services (for example, to create personalized suggestions for you);
(iv). Developing new products or adding features for our Services (for example, creating our tone detector); and
(v). Account management (for example, using information you upload or provide to us, such as your name, to encourage other people within your Organization to join your Organization’s Account).
The above license lasts as long as intellectual property laws protect your User Content, and it also permits our service providers to assist us in performing these limited purposes.
8. Fees, Billing, and Payment
OwlU does not currently offer paid plans or subscription-based pricing. This information will apply if and when you use one of our subscription plans in the future.
8.1. Subscriptions and Billing.
We offer free and paid subscriptions to our Services (respectively, “Free Subscriptions” and “Paid Subscriptions”, and collectively, “Subscriptions”). Pricing and included features for the Subscriptions are set forth here (“Subscription Plan(s)”). For Paid Subscriptions, we will bill you in advance on a recurring monthly or annual basis, as applicable for the selected Subscription Plan (“Billing Cycle”).
8.2. Upgrades.
You may have the option to upgrade your existing Subscription Plan to a higher subscription tier for access to additional features and functionality of our Services. When you upgrade your Subscription Plan, we will automatically bill you from the date the subscription tier upgrade takes effect and on each subsequent applicable Billing Cycle until you cancel your then-current Subscription Plan (see Section 8.8 below for how to cancel).
8.3. Authorization for Recurring Payments.
To access a Paid Subscription, you will be required to provide us with your credit card information (“Payment Method”). By providing a Payment Method, you are authorizing us to charge your Payment Method on a monthly, annual, or pay-as-you-go basis, or as otherwise applicable, for the fees associated with the selected Subscription Plan. The Payment Method you provide must be valid and kept current by you. By providing us with a Payment Method, you represent and warrant that you are authorized to use such Payment Method. We will begin billing your Payment Method for the Paid Subscription on the day that you are given access to the Services, regardless of whether you have fully configured or started using the Services as of that date.
8.4. Third-Party Payments Processor.
OwlU uses Stripe, Inc. and its affiliates as its third-party service provider for payment services (e.g., card acceptance, merchant settlement, and related services) (“Third-Party Payments Processor”). If you make a purchase on the Services, you will be required to provide your payment details and any additional information required to complete your order directly to our Third-Party Service Provider. You agree to be bound by Stripe’s Privacy Policy (currently accessible at https://stripe.com/us/privacy) and its Terms of Service (currently accessible at https://stripe.com/ssa) and hereby consent and authorize OwlU and Stripe to share any information and payment instructions you provide with one or more Third-Party Payments Processor(s) to the minimum extent required to complete your transactions. Please note that online payment transactions may be subject to validation checks by our Third-Party Payments Processor and your card issuer, and we are not responsible if your card issuer declines to authorize payment for any reason. For your protection, our Third-Party Payments Processor uses various fraud prevention protocols and industry-standard verification systems to reduce fraud, and you authorize it to verify and authenticate your payment information. Your card issuer may charge you an online handling fee or processing fee. We are not responsible for this. In some jurisdictions, our Third-Party Payments Processor may use third parties under strict confidentiality and data protection requirements for the purposes of payment processing services.
8.5. Taxes.
The stated fees for Paid Subscriptions are exclusive of any taxes or similar governmental assessments of any nature, including, for example, value-added, sales, use, or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”). You will be responsible for paying all Taxes associated with your Paid Subscription, except for taxes based on our net income. Should any payment for our Services be subject to withholding tax by any government, you will reimburse us for such withholding tax.
8.6. Fee Changes.
We may change the fees for our Services and associated Subscription Plans at our discretion, but we will give you advance notice before those changes take effect. Any fee changes will apply to your next Billing Cycle.
8.7. Promotional Offers.
We may offer special promotional offers, plans, or trial subscriptions from time to time at our discretion (“Offer”). Offer eligibility will be determined by us at our sole discretion, and we reserve the right to revoke or end an Offer at any time. You agree that we may use your information, such as device ID, Payment Method, and the name and email address associated with the Account, to determine your eligibility for the Offer. The eligibility requirements and other limitations and conditions will be disclosed when you sign up for the Offer or in other communications we make to you.
8.8. Subscription Cancellation.
You may cancel your Subscription at any time . If you need help to cancel your Subscription, please feel free to contact jay@owlu.site our Customer Care team and indicate your desire to cancel your Subscription. Following cancellation of a Paid Subscription, (i) you will continue to have access to that Paid Subscription through the end of your then-current Billing Cycle (except with respect to Services that are subject to usage-based billing), (ii) at the end of that current Billing Cycle, your Account will be converted to a Free Subscription, and (iii) all future payments for your Paid Subscription will be canceled. We acknowledge that some countries have mandatory local laws regarding your cancellation rights, and this section does not override those laws.
8.9. Account Communications.
You agree that OwlU may contact you at any time by email, push notifications, or other method with information relevant to your Subscription, billing, and use of the Services.
8.10. No Refunds.
To the fullest extent permitted by applicable law, all payments made by you under these Terms are non-refundable and payment obligations are non-cancelable, and we do not provide refunds or credits for any partially used Subscription periods or unused consumption or capacity.
8.11. Overdue Fees.
If any fees owed by you for a Paid Subscription are overdue by 30 days or more, we may (i) limit functionality of our Services, (ii) suspend our provision of our Services to you, or (iii) convert your Paid Subscription to a Free Subscription, until such overdue amounts are paid in full.
9. Suspension, Termination, and Survival
9.1. Term.
The term of these Terms commences on the date when you accept these Terms (as described in the preamble above) and continues in full force and effect while you use the Services, unless terminated earlier in accordance with these Terms.
9.2. Effect of Termination.
Upon termination of the Services or the applicable feature or functionality thereof, your right to use the Services or the applicable feature or functionality will automatically terminate, and we may delete User Content from our live databases. If we terminate your Account for cause, we may also bar your further use or access to the Services. OwlU will not have any liability whatsoever to you for any suspension or termination, including for deletion of User Content.
9.3. Suspension and Termination.
We reserve the right to suspend or terminate your access to our Services and/or your Account if: (a) You have breached these Terms or our Acceptable Use Policy, (b) You use our Services in a manner that would cause a real risk of harm or loss to other OwlU users or us, or (c) You have a Free Subscription and you haven’t accessed the Services for at least 12 consecutive months. Before suspending or terminating your access to the Services and/or Account for one of the issues outlined immediately above, we will provide you with reasonable advance notice via the email address associated with your Account so that you have an opportunity to remedy the issue. If you fail to promptly remediate the issue after such notice, we will, at our discretion, either suspend or terminate your access to our Services and/or your Account. Notwithstanding the foregoing, we will not provide you advance notice before suspension or termination where we believe that (x) you are in material breach of these Terms or our Acceptable Use Policy, (y) doing so would cause us legal liability or compromise our ability to provide our Services to our other users, or (z) the law prohibits us from doing so. We may terminate these Terms at any time without liability to you.
9.4. Survival.
Upon expiry or termination of these Terms or your Account for any reason, all the sections within these Terms that one would reasonably expect to survive will survive, including, but not limited to, “Warranty Disclaimers,” “Limitation of Liability,” “Arbitration and Dispute Resolution Agreement,” “Miscellaneous Legal Terms,” “Reservation of Rights,” “Fees, Billing and Payment,”, and “Ownership and License of User Content”. Termination does not cancel or otherwise affect any amounts owed by you before the termination took effect.
10. Warranty Disclaimers
10.1. General Disclaimer.
THE SERVICES ARE PROVIDED TO YOU ON AN “AS IS,” AND “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, OWLU AND OUR AFFILIATES, SUPPLIERS, AND DISTRIBUTORS (COLLECTIVELY, THEY ARE THE “OWLU ENTITIES”) DO NOT WARRANT THAT THE OPERATION OF THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR BE ERROR-FREE. OWLU AND THE OWLU ENTITIES EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. SOME JURISDICTIONS MAY PROHIBIT A DISCLAIMER OF WARRANTIES, AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.
10.2. Outputs Disclaimer.
OWLU AND THE OWLU ENTITIES DO NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE OUTPUTS THAT MAY BE GENERATED FROM USE OF GENERATIVE AI FEATURES, INCLUDING WITH RESPECT TO THE FACTUAL ACCURACY OF ANY OUTPUTS OR SUITABILITY FOR YOUR USE-CASE. ALL OUTPUTS ARE PROVIDED “AS IS” AND WITH “ALL FAULTS.” YOU UNDERSTAND AND AGREE THAT YOUR USE OF ANY GENERATIVE AI OUTPUTS IS DONE AT YOUR SOLE RISK. YOU ASSUME ALL RISKS ASSOCIATED WITH YOUR USE OF ANY OUTPUTS, INCLUDING ANY POTENTIAL COPYRIGHT INFRINGEMENT CLAIMS FROM THIRD PARTIES OR ANY DISCLOSURE OF YOUR OUTPUTS THAT PERSONALLY IDENTIFIES YOU OR ANY THIRD PARTY. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM OR THROUGH OWLU OR THE OWLU ENTITIES WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS. LAWS AND REGULATIONS GOVERNING USE OF GENERATIVE ARTIFICIAL INTELLIGENCE ARE RAPIDLY EVOLVING, AND OWLU DOES NOT GUARANTEE THAT YOUR USE OF THE SERVICES OR OUTPUT WILL COMPLY WITH APPLICABLE LAWS AND REGULATIONS OR THAT FUTURE LAWS AND REGULATIONS WILL NOT IMPACT YOUR USE THEREOF. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SERVICES AND ANY OUTPUT COMPLIES WITH ALL APPLICABLE LAWS.
10.3. Owlu Email Client Disclaimer and Release.
OWLU AND THE OWLU ENTITIES DO NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE INFORMATION THAT YOU RECEIVE FROM OWLU OR OTHERWISE OBTAIN ABOUT THE RECIPIENTS OF YOUR EMAILS SENT USING THE SERVICES (“PERSONAL INSIGHTS”). OWLU AND THE OWLU ENTITIES ARE NOT RESPONSIBLE FOR THE ACCURACY, AVAILABILITY, OR RELIABILITY OF ANY PERSONAL INSIGHTS. FURTHER, YOU ACKNOWLEDGE AND AGREE THAT OWLU AND THE OWLU ENTITIES DO NOT CONTROL THE CONTENT YOU TRANSMITTED USING THE SERVICES (“EMAIL CONTENT”) OR WHAT DIRECT AND DOWNSTREAM RECIPIENTS OF THAT EMAIL CONTENT (COLLECTIVELY, “RECIPIENTS”), MAY DO WITH SUCH EMAIL CONTENT (INCLUDING FORWARDING ON SUCH EMAIL CONTENT). YOU AGREE THAT OWLU AND THE OWLU ENTITIES WILL HAVE NO LIABILITY, AND HEREBY RELEASE OWLU FROM ANY LIABILITY, ARISING FROM (I) USE OR RELIANCE ON PERSONAL INSIGHTS AND (II) ANY ACT OR OMISSION OF ANY RECIPIENT WITH RESPECT TO EMAIL CONTENT.
11. Limitation of Liability
11.1. Limitation on Liability Amounts.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OWLU AND THE OWLU ENTITIES' TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE TERMS EXCEED THE AMOUNT THAT YOU HAVE PAID IN FEES TO OWLU OR THE OWLU ENTITIES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT(S) GIVING RISE TO SUCH LIABILITY. HOWEVER, IF THAT AMOUNT IS ZERO BECAUSE YOU HAVE A FREE SUBSCRIPTION, OWLU AND THE OWLU ENTITIES’ TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
11.2. Limitations on Types of Damages.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OWLU AND THE OWLU ENTITIES’ BE LIABLE TO YOU OR OTHERWISE RESPONSIBLE FOR (I) ANY LOST PROFITS, LOST OR DAMAGED USER CONTENT OR OTHER DATA, OR FAILURE TO MEET ANY DUTY, INCLUDING WITHOUT LIMITATION GOOD FAITH AND REASONABLE CARE, AND (II) ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER.
11.3. Basis of the Bargain; Limitation Beneficiaries; As Permitted Under Local Laws.
YOU AGREE THAT THE LIMITATIONS OF LIABILITY CONTAINED IN SECTIONS 11.1 AND 11.2 REPRESENT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND OWLU (OR IF APPLICABLE, THE RELEVANT OWLU ENTITIES). YOU UNDERSTAND OUR SERVICES WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS. YOU FURTHER AGREE THAT THE OWLU ENTITIES ARE INTENDED THIRD-PARTY BENEFICIARIES OF SECTION 11. CERTAIN COUNTRIES AND US STATES DO NOT ALLOW THE LIMITATION OF CERTAIN TYPES OF DAMAGES OR DAMAGE AMOUNTS. IN CASES WHERE THAT IS APPLICABLE, YOU AGREE THAT OWLU AND THE OWLU ENTITIES’ LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMISSIBLE UNDER THE LAW APPLICABLE TO THESE TERMS.
12. Arbitration and Dispute Resolution Agreement
If you’re upset with us, let us know, and we’ll work together in good faith to resolve your issue. If we can’t resolve it, then you and OwlU agree to submit our disputes exclusively to binding individual arbitration, and we won’t sue each other in court before a judge or jury, except in the limited circumstances described below. This Section 12 (the “Arbitration Agreement”) applies to the fullest extent allowable by law.
12.1. Disputes We’ll Arbitrate
You and OwlU agree to mandatory individual arbitration for all claims arising out of or relating in any way to: your access to or use of the Services, the Apps, or the Site; these and prior versions of the Terms; any products, data, or content bought, sold, offered, accessed, displayed, transmitted, or listed through the Services, the Apps, or the Site; and any actions or statements by OwlU, in each case including disputes that arose before the effective date of these Terms (each, a “Dispute”).
Exceptions. We each may:
- bring qualifying individual claims in small claims court, so long as those claims remain in small claims court; and
- seek injunctive relief in court for infringement or misuse of intellectual property rights.
All other Disputes must be arbitrated, which means you and OwlU are each waiving the right to sue in court and to have a court or jury trial.
12.2. Informal Dispute Resolution
Before filing an arbitration, you and OwlU will try in good faith to resolve any Dispute informally.
Notice of Dispute. To start the dispute process, you must send an individualized written notice (“Notice of Dispute”) to jay@owlu.site or by regular mail to:

Your Notice of Dispute must include:
- your name, phone number with country code, the email address for your account, and your username; and
- a description of the Dispute and how you would like it resolved.
If OwlU has a Dispute with you, we will send a Notice of Dispute with the same information to the email address associated with your account. The Notice of Dispute must be signed by the party initiating the Dispute (i.e., either you personally or an OwlU representative).
Informal Resolution Period. Once a complete Notice of Dispute has been received, the recipient has 60 days to investigate the claims. If either side requests a settlement conference during this period, you and OwlU must cooperate to schedule a meeting by phone or videoconference. You and OwlU will personally participate and may each bring counsel, but the conference must be individualized, even if the same firm(s) represent multiple parties.
For the claims in the Notice of Dispute, any statute of limitations will be tolled from the date the notice is received until the later of: (i) 60 days, or (ii) completion of a timely requested settlement conference (the “Informal Resolution Period”).
No arbitration may be filed until the Informal Resolution Period has ended, and a court may enjoin the filing or prosecution of an arbitration in breach of this Section 12.2.
12.3. Waiver of Class and Other Non-Individualized Relief
You and OwlU agree that each of us may bring claims against the other only on an individual basis, and not on a class, representative, or collective basis (and we each waive any right we have to bring such claims). We may only seek or obtain individualized relief, and Disputes between us cannot be arbitrated or consolidated with those of any other person or entity, except as provided in Section 12.6 (Mass Arbitration; Batching).
If there is a final decision (after exhaustion of all appeals) that any part of this Section 12.3 is unenforceable as to a particular claim or request for relief, then only that particular claim or request for relief will be severed from arbitration and may be litigated in state or federal courts located in the United States that have jurisdiction, including (at the claimant’s election): (a) the courts located in the county where the claimant resides, or (b) the courts located in San Francisco County, California (but only after the arbitrator issues an award on the arbitrable claims and remedies).
This Section 12.3 does not prevent you or OwlU from participating in a class-wide or mass settlement of claims.
12.4. Rules, Forum, and Procedure (Including Small Claims Exception)
Small Claims Exception. Notwithstanding anything to the contrary in this Arbitration Agreement, either you or OwlU may bring an individual action in a small claims court in the county (or equivalent) where you reside (if you are a U.S. resident) or in San Francisco County, California, provided that the dispute qualifies for and remains in small claims court and proceeds only on an individual basis.
Governing law for arbitration. The Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the “FAA”), will govern the interpretation and enforcement of this Arbitration Agreement.
Arbitration provider and rules. To initiate arbitration, either you or OwlU must file a demand for arbitration with the American Arbitration Association (“AAA”) in accordance with the AAA Consumer Arbitration Rules and Mediation Procedures then in effect, as supplemented, where applicable, by the AAA’s Mass Arbitration Supplementary Rules (and any applicable AAA fee schedules) (collectively, the “AAA Rules”), and as modified by this Arbitration Agreement.
Service of demand. You must serve OwlU with any arbitration demand by email to jay@owlu.site and by regular mail to:

If OwlU has a dispute with you, OwlU will send an arbitration demand to the email or mailing address associated with your account.
If AAA cannot administer. If AAA cannot or will not administer the arbitration in accordance with this Section 12, you and OwlU will select another arbitration provider. If we cannot agree, a court of competent jurisdiction will appoint the provider.
Format and location. The arbitration will be conducted in the English language by a single arbitrator. Unless otherwise agreed by the parties or ordered by the arbitrator:
(i) if the amount in dispute is less than $25,000, the arbitration will be documents-only (no in-person or telephonic hearing); and
(ii) if the amount in dispute is $25,000 or more, the arbitration will be held by videoconference with no in-person hearing.
If an in-person hearing is required, it will be held in the county where you live (for U.S. residents) or at another location determined by the arbitrator as necessary for fairness or efficiency (including in the case of Mass Arbitration batching).
Arbitrator authority. The arbitrator will have exclusive authority to resolve any Dispute, including disputes regarding the interpretation or application of the Arbitration Agreement, including enforceability, revocability, scope, or validity, except that all Disputes regarding the subsection entitled “Waiver of Class and Other Non-Individualized Relief,” including any claim that all or part of that subsection is unenforceable, illegal, void or voidable, or that such subsection has been breached, will be decided by a court of competent jurisdiction and not by an arbitrator.
Relief. Except as provided in Section 12.6 (Mass Arbitration; Batching), the arbitrator may award damages and other relief only in favor of the individual claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim(s). The arbitrator will not be bound by decisions reached in other arbitrations.
Finality. The arbitrator’s award is final and binding on you and OwlU, and judgment on the award may be entered in any court with jurisdiction.
12.5. Arbitration Fees
Payment of all filing, case-management, administrative, hearing, and arbitrator fees (collectively, “Arbitration Fees”) will be governed by the AAA Rules and applicable AAA fee schedules, unless otherwise stated in this Arbitration Agreement.
Consistent with the AAA Consumer fee schedule, OwlU will pay the Arbitration Fees required of the business, and you will be responsible only for the consumer filing fee (if any) required by the AAA, unless the AAA Rules or the arbitrator provide otherwise.
Each party will bear its own attorneys’ fees and costs, except to the extent an applicable law or the arbitrator’s award provides otherwise.
12.6. Mass Arbitration; Batching
To ensure efficient resolution of Disputes, if within any 90-day period twenty-five (25) or more claimants submit Notices of Dispute and/or file demands for arbitration raising similar claims (i.e., with similar facts and legal issues) against OwlU, and those claimants are represented by the same or coordinated counsel (a “Mass Arbitration”), then the parties agree that the arbitration(s) will be administered in accordance with the AAA’s Mass Arbitration Supplementary Rules, as incorporated into this Arbitration Agreement.
Batches. Unless the parties agree otherwise in writing, the claims in a Mass Arbitration will proceed in batches of up to one hundred (100) claimants per batch (each, a “Batch”). The AAA will administer each Batch with a single arbitrator (or process arbitrator, if applicable under the AAA Mass Arbitration Supplementary Rules), one set of Arbitration Fees per Batch, and one hearing (if any) per Batch, which will be conducted by videoconference unless the arbitrator determines that an in-person hearing is necessary for fairness or efficiency.
Administration and process determinations. The parties will cooperate in good faith to implement the Batch process and minimize time and costs. Any disputes regarding whether a filing or set of filings qualifies as a Mass Arbitration, how claims should be batched, or other administrative determinations will be resolved in the manner provided by the AAA Mass Arbitration Supplementary Rules, including through a process arbitrator where applicable.
Severability. If this Section 12.6 is deemed unenforceable as to a particular claimant or Batch, then it will be severed only as to that claimant or Batch, and the remaining claim(s) will proceed in arbitration on an individual basis under the AAA Rules, unless the parties agree otherwise.
Effect of invalidity. If a court of competent jurisdiction determines that the Batch procedure described in this Section 12.6 is invalid or unenforceable in a manner that prevents the AAA from administering a Mass Arbitration consistent with this Arbitration Agreement, then the parties agree that the affected claims will proceed as individual arbitrations under the AAA Consumer Arbitration Rules, unless the parties agree to a different efficient process consistent with the AAA Rules.
12.7. 30-Day Right to Opt Out
If you are a new user of our Services, you can opt out of this Arbitration Agreement (excluding Section 12.9) within 30 days after you first accept the Terms. To opt out, you must send a timely email to jay@owlu.site with your name, the email address for your account, your username, and a request to opt out of this Arbitration Agreement.
Any opt-out notice will be effective only if you send it yourself, on an individual basis, and opt-out notices from any third party purporting to act on your behalf will have no effect on your or OwlU’s rights.
If you validly opt out, neither OwlU nor you will be required to arbitrate as a result of this (or any prior version of the) Arbitration Agreement, but the Terms (and any other agreements between us) will otherwise apply to you. Your opt-out notice will have no effect on prior versions of the arbitration clause to which you have agreed.
12.8. Modification
OwlU will notify you of material changes to this Arbitration Agreement at least 30 days before they become effective. You may reject future changes to the Arbitration Agreement by emailing jay@owlu.site within 30 days after you receive notice, including your name, email address associated with your account, and username.
Otherwise, you’ll be bound by the change, and the modified Arbitration Agreement will apply to all Disputes between you and OwlU, including those arising before the effective date of the changes, but excluding any claims pending in arbitration (or court, if permitted) as of the effective date.
If you reject a change, you’ll be bound by the most recent version of the Arbitration Agreement before the change you rejected.
12.9. Choice of Law and Forum
OwlU is based in Gwangju, Republic of Korea, and OwlU provides the Services to users in the United States and other countries.
If there are claims between you and OwlU that are not subject to arbitration (including claims that a court determines are not arbitrable), then, except as described in the Small Claims Exception above, you and OwlU agree to litigate those claims exclusively in state or federal courts located in the United States that have jurisdiction, including (at the claimant’s election): (a) the courts located in the county where the claimant resides (for U.S. residents), or (b) the courts located in San Francisco County, California, and each party agrees to submit to the personal jurisdiction of those courts.
Small claims. If you file an eligible claim in small claims court, you may do so in the county (or equivalent) of your residence, and OwlU will also bring any eligible small claims action against you only in the county (or equivalent) where you reside.
Governing law. Except as prohibited by law, these Terms will be governed by:
(i) the laws of the State of California, without regard to conflict-of-law rules; and
(ii) applicable U.S. federal law, including the Federal Arbitration Act (to the extent applicable to this Arbitration Agreement).
Opt-out clarification. For clarity, this Section 12.9 will continue to apply even if you validly opt out of arbitration under Section 12.7.
EEA and other restricted jurisdictions. If you are a resident in a member state of the EEA or in a country in which the Arbitration Agreement in this Section 12 is prohibited by local law, you may be entitled to invoke mandatory consumer protection laws of your country of residence, and/or to bring legal proceedings in the courts of that country. If OwlU needs to enforce its rights against you as an individual consumer in the EEA, we will do so only in your country of residence.
CISG excluded. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
13. Miscellaneous Legal Terms
13.1. Entire Agreement.
These Terms, including the terms herein that are incorporated by reference, constitute the entire agreement between you and OwlU regarding our Services. They supersede any prior agreements between us.
13.2. Waiver, Severability, and Conflicting Terms.
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Subject to Sections 12.3 and 12.6 above, if a provision is unenforceable, the remaining provisions will remain in full effect, and an enforceable term will be substituted with the goal of reflecting our intent as closely as possible. If there is a conflict between the documents referenced in these Terms, the documents will control in the following order, as applicable: the Acceptable Use Policy, the Data Privacy Addendum (if applicable); the Privacy Policy (if applicable); these Terms; and then the Documentation.
13.3. Third-Party Beneficiaries.
Except where expressly stated, these Terms do not confer any benefits on any third party.
13.4. Assignment.
You may not assign any of your rights or obligations under these Terms, and any such attempt will be void. We may assign or otherwise transfer our rights and/or obligations without restriction, including assigning to any of our affiliates or subsidiaries or any successor in interest of any business associated with the Services.
13.5. Force Majeure.
We will not be liable by reason of any failure or delay in the performance of our obligations on account of events beyond our reasonable control, which may include, but are not limited to, denial-of-service attacks, a failure by a third-party hosting provider or utility provider, acts of God, pandemics, acts of civil or military authorities, riots or civil disobedience, zombie apocalypse, wars, strikes or labor disputes.
13.6. Open Source.
To the extent any component of our software may be offered under open-source license terms (see here) for the lists of the open-source software that we use), the provisions of open-source licenses that we make available to you may expressly override some of the terms within these Terms. In addition, certain code distributed in and as part of the platform used to provide the Services may be licensed under or include components subject to open-source software licenses. Notwithstanding the foregoing, any use of open-source software as part of the Services must comply with these Terms.
13.7. Government.
Where applicable to United States government customers and end users, the Services are “commercial computer software” or a “commercial item” for purposes of FAR 12.212 and DFARS 227.7202. To the extent permitted within these Terms, use, reproduction, release, modification, disclosure, or transfer of the Services is governed solely by these Terms, and all other use is prohibited.
13.8. Notice.
Where OwlU requires that you provide an email address, you are responsible for providing OwlU with a valid and current email address. In the event that the email address you provide to OwlU is not valid, or for any reason is not capable of delivering to you any notices required by these Terms, OwlU’s dispatch of the email containing such notice will nonetheless constitute effective notice. Such notice shall be deemed given when received by OwlU by letter delivered by nationally recognized overnight delivery service or first class postage prepaid mail at the above address.
13.9. Copyright Policy; DMCA.
We respect artist and content owner rights, and it is our policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 (“DMCA”). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Services, please notify us. UNDER FEDERAL LAW, IF YOU KNOWINGLY MISREPRESENT THAT ONLINE MATERIAL IS INFRINGING, YOU MAY BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY AND CIVIL PENALTIES, INCLUDING MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS’ FEES. Please note that this procedure is exclusively for notifying us and our affiliates that your copyrighted material has been infringed. The preceding requirements are intended to comply with our rights and obligations under the DMCA, including 17 U.S.C. §512(c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other applicable laws. In accordance with the DMCA and other applicable law, we have adopted a policy of terminating the Accounts of users who are deemed to be repeat infringers. We may also at our sole discretion limit access to the Services and/or terminate any subscriptions of any user of the Services who infringes any intellectual property rights of others, whether or not there is any repeat infringement.
14. Additional Terms for Mobile Applications
14.1. Mobile Applications.
We may make available Apps to access the Services via a mobile device (which, for simplicity, will include tablets or other devices that make use of the mobile application) (“Mobile Applications”). To use any Mobile Applications, you must have a mobile device that is compatible with the Mobile Applications. We do not warrant that the Mobile Applications will be compatible with your mobile device. You may use mobile data in connection with the Mobile Applications and may incur additional charges from your wireless provider for these services. You agree that you are solely responsible for any such charges. We hereby grant you a non-exclusive, non-transferable, revocable license to use a compiled code copy of the Mobile Applications for one Account on mobile devices owned or leased solely by you, for your personal use. You acknowledge that we may, from time to time, provide updated versions of the Mobile Applications, and may automatically electronically update the version of the Mobile Applications that you are using on your mobile device. You consent to such automatic updating on your mobile device, and agree that the Agreement will apply to all such updates. Any third-party code that may be incorporated in the Mobile Applications is covered by the applicable open source or third-party license EULA, if any, authorizing use of such code. The foregoing license grant is not a sale of the Mobile Applications or any copy thereof, and we or our third-party partners or suppliers retain all right, title, and interest in the Mobile Applications (and any copy thereof). Any attempt by you to transfer any of the rights, duties or obligations hereunder, except as expressly provided for in these Terms, is void. We reserve all rights not expressly granted under these Terms.
14.2. Mobile Applications from Apple App Store.
The following applies to any Mobile Applications acquired from the Apple App Store (“Apple-Sourced Software”): you acknowledge and agree that these Terms are made and entered into solely between you and OwlU, not Apple, Inc. (“Apple”) and that Apple has no responsibility for the Apple-Sourced Software or content thereof. Your use of the Apple-Sourced Software must comply with the App Store Terms of Service. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Apple-Sourced Software. In the event of any failure of the Apple-Sourced Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Apple-Sourced Software (if any); to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Apple-Sourced Software, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by these Terms and any law applicable to us as provider of the software. You acknowledge that Apple is not responsible for addressing any claims by you or any third party relating to the Apple-Sourced Software or your possession and/or use of the Apple-Sourced Software, including, but not limited to: (a) product liability claims; (b) any claim that the Apple-Sourced Software fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation; and all such claims are governed solely by these Terms and any law applicable to us as provider of the software. You acknowledge and agree that, in the event of any third-party claim that the Apple-Sourced Software or your possession and use of that Apple-Sourced Software infringes that third party’s intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. You and we acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of the Agreement as relates to your license of the Apple-Sourced Software, and that, upon your acceptance of the terms and conditions that make up these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms as relates to your license of the Apple-Sourced Software against you as a third-party beneficiary thereof.
14.3. Mobile Applications from Google Play Store.
The following applies to any Mobile Applications you acquire from the Google Play Store (“Google-Sourced Software”): (i) you acknowledge that these Terms are made and agreed to as between you and OwlU only, and not with Google, Inc. (“Google”); (ii) your use of Google-Sourced Software must comply with Google’s then-current Google Play Store Terms of Service; (iii) Google is only a provider of the Google Play Store where you obtained the Google-Sourced Software; (iv) OwlU, and not Google, is solely responsible for its Google-Sourced Software; (v) Google has no obligation or liability to you with respect to Google-Sourced Software or these Terms; and (vi) you acknowledge and agree that Google is a third-party beneficiary to the Terms as it relates to our Google-Sourced Software.

These Terms of Service (the “Terms”) form an agreement between Leanagilehungry Inc. (“OwlU”, “us”, “we” or “our”) and you or the Entity you represent (“you” or “your”). Leanagilehungry Inc. is the creator of Owlu.
Please read these Terms carefully as they govern your access to and use of our websites (each, a “Site”); our products and services, including mobile and desktop applications (“Apps”), application programming interfaces (“APIs”), and software development kits (“SDKs”). References to the “Services” in these Terms collectively refer to all our products and services, including, when applicable, the Sites, Apps, APIs, and SDKs.
PLEASE BE AWARE THAT SECTION 12 CONTAINS PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND OWLU. AMONG OTHER THINGS, SECTION 12 INCLUDES AN AGREEMENT TO ARBITRATE (“ARBITRATION AGREEMENT”) WHICH REQUIRES, WITH LIMITED EXCEPTIONS, THAT ALL DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING AND FINAL ARBITRATION. SECTION 12 ALSO CONTAINS A CLASS ACTION AND JURY TRIAL WAIVER. PLEASE READ SECTION 12 CAREFULLY.
UNLESS YOU OPT OUT OF THE ARBITRATION AGREEMENT WITHIN 30 DAYS: (1) YOU WILL ONLY BE PERMITTED TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF AGAINST US THROUGH BINDING, FINAL ARBITRATION, WITH LIMITED EXCEPTIONS, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR OTHER REPRESENTATIVE PROCEEDING OR CLASS-WIDE ARBITRATION; AND (2) YOU ARE WAIVING YOUR RIGHT TO PURSUE DISPUTES OR CLAIMS AND SEEK RELIEF IN A COURT OF LAW AND TO HAVE A JURY TRIAL.
If you are a user in the European Economic Area (“EEA“), or any other country that does not allow such an arbitration agreement, Sections 12.1-12.8 do not apply to you.
IF YOU SUBSCRIBE TO A PAID SUBSCRIPTION TO THE SERVICES, SUCH PAID SUBSCRIPTION WILL BE AUTOMATICALLY RENEWED FOR ADDITIONAL PERIODS OF THE SAME DURATION AS YOUR INITIAL SUBSCRIPTION PERIOD AT OWLU’S THEN-CURRENT FEES FOR SUCH SUBSCRIPTION UNLESS YOU CANCEL OR DECLINE TO RENEW YOUR SUBSCRIPTION IN ACCORDANCE WITH SECTION 8.8 BELOW.
1. Your Acceptance of these Terms
These Terms become effective from the date you sign up for a OwlU account, access our Services, or otherwise indicate that you accept the Terms, whichever happens first. You agree that you are not barred from using the Services under the laws of the United States, your place of residence, or any other applicable jurisdiction. If you are accepting these Terms on behalf of a company, organization, or other legal entity (an “Entity”), you agree that: (i) you have full legal authority to bind the Entity to these Terms, and (ii) all references to “you” and “your” in these Terms will refer to that Entity, unless we indicate otherwise. By checking the box indicating your acceptance of these Terms during sign-up or by accessing or using this Site or any of our Services, you agree to be bound by these Terms. If you do not accept these Terms, please refrain from accessing or using the Services.
2. Our Modification of these Terms
Subject to Section 12.8 below, we may make changes to these Terms at our discretion. If we make changes, we will notify you either by email or through the Services at least thirty (30) days before the changes take effect. We will also post the updated version of the Terms on our Site and change the “Last Updated” date at the top of these Terms to indicate when the changes took effect. It is important for you to regularly review these Terms for any modifications. Continuing to access or use the Services after this new date means you accept the updated Terms. If you disagree with the new Terms, you must cease accessing and using the Services.
3. Your Use of the Services
3.1. Permitted Use.
Subject to your compliance with these Terms, OwlU hereby grants to you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to access and use our Service, and where necessary, install and use any software provided by us. You acknowledge that the Services and any related software are provided to you on a subscription basis; they are not being sold to you. If you are an Entity, you must only access and use our Services for internal business purposes.
3.2. Eligibility.
You may only use our Services if you are old enough to consent (by yourself and not by a parent or guardian) to share your data under applicable law. For example, you must be at least 13 years old under most United States law, or 16 years old under European Union law. If the law where you reside requires that you be older for us to lawfully provide the Services to you without parental consent (including using your information), you must meet that age requirement. The Services are administered by Leanagilehungry Inc. from our offices in the Republic of Korea. We make no representation that the Services are appropriate or available for use in other locations, including the European Economic Area (EEA). Those who choose to access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.
3.3. Account Creation & Management.
3.3.1. Account Credentials.
To access our Services, you may be required to create an online account (“Account”) with access credentials assigned to or chosen by you (“Credentials”). Your Credentials are unique to you and must not be shared with other persons, entities, or end users, except as permitted by these Terms. You are responsible for all activities undertaken using your Credentials. You are responsible for maintaining the confidentiality of your Credentials and must notify us promptly of any actual or suspected unauthorized use of your Credentials. We reserve the right to terminate any Credentials that we reasonably determine may have been accessed or used by an unauthorized third party. We strongly recommend enabling two-factor authentication for added security for your Credential Account.
3.3.2. Responsibility for Multi-User Accounts.
When you create an Account that includes multiple end users (a “Multi-User Account”), you are responsible for ensuring they comply with these Terms. If you are an individual operating under a Multi-User Account, we will handle your User Content and process your personal information as instructed by the administrator of that Multi-User Account, unless otherwise prohibited by applicable law.
3.3.3. School and Work Email Addresses.
If you are an individual and you create an Account using an email address that belongs to your employer, school, or other group, such as a church or sports team (an “Organization”), your use of our Services under that Account is subject to that Organization’s control. As such, you acknowledge that the Organization may access, view, restrict, merge, or terminate your Account (each, an “Account Control Action”). For instance, if you initially registered your Account with an email address provided by your Organization and that Organization subsequently purchases a Subscription to our Services, we may merge your Account with the Organization’s Account at their request, and after which, your use of our Services will be subject to the terms applicable to the Organization’s Account.
3.3.4. Account Deletion.
If you no longer wish to use our Services and would like to delete your Account, please proceed with the account deletion process via the Account Deletion (or Delete Account) menu in the Application. If you experience any difficulties completing the account deletion process, please contact us at jay@owlu.site. Please note that once you delete your Account, you will not be able to reactivate it or retrieve any content or information associated with it.
3.4. Restrictions on Use; Compliance.
You agree that, as a condition of using our Services, you and, if applicable, your end users, will not, and will not encourage or assist any third parties to: (i) reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, object code, or underlying structure, ideas, know-how, or algorithms relevant to the Services (except to the extent that such a restriction is impermissible under applicable law); (ii) provide, sell, resell, transfer, sublicense, lend, distribute, or rent the Services, or otherwise allow others to access or use the Services; (iii) copy, modify, create derivative works of, or remove proprietary notices from the Services; or (iv) circumvent any technical limitations implemented by us, or (v) violate our Acceptable Use Policy. You agree to comply with all applicable export and import laws in accessing and using the Services. You represent and warrant that you are not listed on any United States government list of prohibited or restricted parties or located in (or a national of) a country subject to a United States government embargo or designated by the United States government as a “terrorist supporting” country (as applicable to you as an individual or an Entity). You agree that you will not submit any data to the Services that is controlled under the United States International Traffic in Arms Regulations.
3.5. Processing of Personal Information.
If you open an Account on behalf of an Entity, we will process your personal information and that of the end users of that Account in accordance with our Data Privacy Addendum, and we and you agree to comply with its terms, as applicable. In such cases, the Entity is responsible for providing any legally required notices and obtaining any necessary consents for us to provide our Services to the Entity’s end users. If you have opened an Account as an individual (i.e., not on behalf of an Entity), OwlU’s Privacy Policy will govern the processing of personal information about you, and if applicable, the end users associated with your Account. You can export or delete your User Content, including your personal information, at any time while you have an Account by following the steps detailed in the Data Privacy Addendum (if you are acting on behalf of an Entity) or the Privacy Policy (if you are an individual).
International Data Transfers. OwlU is based in the Republic of Korea. To p rovide the Services, we may transfer, store, and process your personal information and User Content in the United States and other countries where our third-party infrastructure providers (such as Amazon Web Services, Google Cloud Platform, and MongoDB Atlas) maintain facilities. By using the Services, you acknowledge and consent to this international transfer, storage, and processing of your data. You understand that the data protection laws in the United States and other jurisdictions may differ from, and may not be as protective as, those in your country of residence.
3.6. Reservation of Rights.
As between OwlU and you, OwlU owns all intellectual property rights in the Services (including all OwlU-created Enhancements), Beta Services, Documentation, and Usage Data. Except as expressly stated herein, these Terms do not grant you any rights, implied or otherwise, to our intellectual property. The visual interfaces, graphics, design, information, data, computer code (including source code or object code), and all other elements of the Services (the “Materials”) provided by us are protected by all relevant intellectual property and proprietary rights and applicable laws. All Materials contained in our Services are the property of OwlU or our third-party licensors, and we reserve all rights to them. Except as expressly authorized by us under these Terms, you are not permitted to make use of the Materials. You agree not to remove, alter, or obscure any copyright, trademark, service mark, or other proprietary rights notices incorporated in or accompanying the Services or the Materials.
3.7. Feedback and Usage Data.
If you provide us with any suggestions, enhancement requests, recommendations, or other feedback regarding our Services, we may use that feedback without restriction or any further obligation to you. We may also collect and analyze data relating to your access and use of our Services (“Usage Data”). Examples of Usage Data include, but are not limited to, technical logs, metadata, telemetry data, and usage information about User Content, such as how often it is accessed.
3.8. Changes to the Service.
We may modify or discontinue any feature, functionality, or component of our Services at any time (a “Services Update”). If we believe a Services Update may significantly impair your use of our Services, we will use reasonable efforts to notify you before making such Services Update by either sending an email to the email address associated with your Account or via an in-product notification.
4. Your Use of AI Features
4.1. AI-Generated Content.
Depending on your Membership Status, you may be able to use generative AI features within our Services that allow you to input prompts and other text (“Inputs”) and receive AI-generated outputs (“Outputs”). When you use our generative AI features, your Inputs and the resulting Outputs are your User Content. Notwithstanding the foregoing, you acknowledge that other users of our Services may, through no fault of OwlU, use inputs that are similar to yours and, as a result, receive the same or similar outputs as your Outputs. Outputs generated for other users based on their inputs are not considered your User Content.
4.2. Usage Limits; Add-Ons.
Depending on your Membership Status, you may have limits on your use of our generative AI features. If you exceed your Subscription Plan’s usage limits, we may require you to purchase additional capacity or units to continue accessing and using the generative AI features of the Services. Any additional generative AI capacity or units that you purchase (i) will be tied to your then-current Subscription, (ii) are not transferable to another Account, and (iii) will not be refunded to you upon expiry or termination of your Subscription.
4.3. AI Usage Restrictions.
Your use of our generative AI features must comply with these Terms, including the restrictions and obligations imposed upon you in Section 3.4 (Restrictions on Use; Compliance). You also must not use our generative AI features i) in a way that infringes, violates, or misappropriates any of our rights or the rights of any third party, or ii) to develop foundation or large language models that compete with our Services.
5. Your Use of Integrations
5.1. Integrations Generally.
If you access or use any third-party product or service that interoperates with our Services (a “Third-Party Service”), your use of such a Third-Party Service is solely governed by the terms of service, end user license agreement, privacy policies, and/or any other applicable terms and policies of the third-party providing the Third-Party Service. You acknowledge that the Third-Party Service might access or use your User Content, and you permit us to transmit your User Content to the provider of the Third-Party Service as necessary for the Third-Party Service to interoperate with our Services. You acknowledge and agree that OwlU is not responsible for any harms, damages, loss, lost profits, special or consequential damages, or claims arising out of or in connection with the installation of, use of, or reliance on any such Third-Party Service.
5.2. Within OwlU service.
OwlU's use of information received from Google APIs adheres to the Google API Services User Data Policy, including the Limited Use requirements.
6. Your Use of Beta Services
We may occasionally provide you with access to new service offerings that are still in development (“Beta Services”). You may choose to use these Beta Services at your sole discretion. We will label Beta Services as “alpha,” “beta,” “early access,” or something similar within our Services, on our Sites, or in the Documentation. Beta Services may have additional terms that apply to them. In using the Beta Services, you agree to comply with all terms related to the Beta Services that we provide to you. If we do not provide any additional terms, then you agree that the restrictions imposed on you with respect to our Services that are contained in Section 3.4 (Restrictions on Use; Compliance) of these Terms will apply to the Beta Services. You acknowledge that Beta Services may not be as secure or reliable as our Services. We are under no obligation to provide support for Beta Services or to make them generally available. We may, in our sole discretion, change the functionality of the Beta Services and/or discontinue, suspend, or remove your access to such Beta Services (including any data that you input or store within the Beta Services). NOTWITHSTANDING ANYTHING ELSE STATED IN THESE TERMS, OWLU WILL HAVE NO LIABILITY ARISING OUT OF OR IN CONNECTION WITH BETA SERVICES.
7. Ownership and License of User Content
7.1. Ownership of User Content.
In connection with your use of our Service, you and your end users (if applicable) may upload and/or create certain content, text, output, and documents to and through the Service, including text and images displayed within an application window (“User Content”). OwlU makes no representation or warranty as to whether Output is protectable by intellectual property rights under applicable law.
7.2. License to User Content.
To provide our Services to you, we need your permission (i.e., a license) to use your User Content. You grant us a worldwide, non-exclusive, royalty-free license to your User Content that allows us to use, store, reproduce, publish, and publicly display (to show your User Content to you or other users as you may specify), modify, and create derivative works from it (such as writing suggestions and autocorrecting words) for the limited purposes of:
(i). Operating, providing, improving, troubleshooting, and debugging our Services;
(ii). Protecting our Services (for example, to analyze patterns in usage to prevent abuse);
(iii). Customizing our Services (for example, to create personalized suggestions for you);
(iv). Developing new products or adding features for our Services (for example, creating our tone detector); and
(v). Account management (for example, using information you upload or provide to us, such as your name, to encourage other people within your Organization to join your Organization’s Account).
The above license lasts as long as intellectual property laws protect your User Content, and it also permits our service providers to assist us in performing these limited purposes.
8. Fees, Billing, and Payment
OwlU does not currently offer paid plans or subscription-based pricing. This information will apply if and when you use one of our subscription plans in the future.
8.1. Subscriptions and Billing.
We offer free and paid subscriptions to our Services (respectively, “Free Subscriptions” and “Paid Subscriptions”, and collectively, “Subscriptions”). Pricing and included features for the Subscriptions are set forth here (“Subscription Plan(s)”). For Paid Subscriptions, we will bill you in advance on a recurring monthly or annual basis, as applicable for the selected Subscription Plan (“Billing Cycle”).
8.2. Upgrades.
You may have the option to upgrade your existing Subscription Plan to a higher subscription tier for access to additional features and functionality of our Services. When you upgrade your Subscription Plan, we will automatically bill you from the date the subscription tier upgrade takes effect and on each subsequent applicable Billing Cycle until you cancel your then-current Subscription Plan (see Section 8.8 below for how to cancel).
8.3. Authorization for Recurring Payments.
To access a Paid Subscription, you will be required to provide us with your credit card information (“Payment Method”). By providing a Payment Method, you are authorizing us to charge your Payment Method on a monthly, annual, or pay-as-you-go basis, or as otherwise applicable, for the fees associated with the selected Subscription Plan. The Payment Method you provide must be valid and kept current by you. By providing us with a Payment Method, you represent and warrant that you are authorized to use such Payment Method. We will begin billing your Payment Method for the Paid Subscription on the day that you are given access to the Services, regardless of whether you have fully configured or started using the Services as of that date.
8.4. Third-Party Payments Processor.
OwlU uses Stripe, Inc. and its affiliates as its third-party service provider for payment services (e.g., card acceptance, merchant settlement, and related services) (“Third-Party Payments Processor”). If you make a purchase on the Services, you will be required to provide your payment details and any additional information required to complete your order directly to our Third-Party Service Provider. You agree to be bound by Stripe’s Privacy Policy (currently accessible at https://stripe.com/us/privacy) and its Terms of Service (currently accessible at https://stripe.com/ssa) and hereby consent and authorize OwlU and Stripe to share any information and payment instructions you provide with one or more Third-Party Payments Processor(s) to the minimum extent required to complete your transactions. Please note that online payment transactions may be subject to validation checks by our Third-Party Payments Processor and your card issuer, and we are not responsible if your card issuer declines to authorize payment for any reason. For your protection, our Third-Party Payments Processor uses various fraud prevention protocols and industry-standard verification systems to reduce fraud, and you authorize it to verify and authenticate your payment information. Your card issuer may charge you an online handling fee or processing fee. We are not responsible for this. In some jurisdictions, our Third-Party Payments Processor may use third parties under strict confidentiality and data protection requirements for the purposes of payment processing services.
8.5. Taxes.
The stated fees for Paid Subscriptions are exclusive of any taxes or similar governmental assessments of any nature, including, for example, value-added, sales, use, or withholding taxes, assessable by any jurisdiction (collectively, “Taxes”). You will be responsible for paying all Taxes associated with your Paid Subscription, except for taxes based on our net income. Should any payment for our Services be subject to withholding tax by any government, you will reimburse us for such withholding tax.
8.6. Fee Changes.
We may change the fees for our Services and associated Subscription Plans at our discretion, but we will give you advance notice before those changes take effect. Any fee changes will apply to your next Billing Cycle.
8.7. Promotional Offers.
We may offer special promotional offers, plans, or trial subscriptions from time to time at our discretion (“Offer”). Offer eligibility will be determined by us at our sole discretion, and we reserve the right to revoke or end an Offer at any time. You agree that we may use your information, such as device ID, Payment Method, and the name and email address associated with the Account, to determine your eligibility for the Offer. The eligibility requirements and other limitations and conditions will be disclosed when you sign up for the Offer or in other communications we make to you.
8.8. Subscription Cancellation.
You may cancel your Subscription at any time . If you need help to cancel your Subscription, please feel free to contact jay@owlu.site our Customer Care team and indicate your desire to cancel your Subscription. Following cancellation of a Paid Subscription, (i) you will continue to have access to that Paid Subscription through the end of your then-current Billing Cycle (except with respect to Services that are subject to usage-based billing), (ii) at the end of that current Billing Cycle, your Account will be converted to a Free Subscription, and (iii) all future payments for your Paid Subscription will be canceled. We acknowledge that some countries have mandatory local laws regarding your cancellation rights, and this section does not override those laws.
8.9. Account Communications.
You agree that OwlU may contact you at any time by email, push notifications, or other method with information relevant to your Subscription, billing, and use of the Services.
8.10. No Refunds.
To the fullest extent permitted by applicable law, all payments made by you under these Terms are non-refundable and payment obligations are non-cancelable, and we do not provide refunds or credits for any partially used Subscription periods or unused consumption or capacity.
8.11. Overdue Fees.
If any fees owed by you for a Paid Subscription are overdue by 30 days or more, we may (i) limit functionality of our Services, (ii) suspend our provision of our Services to you, or (iii) convert your Paid Subscription to a Free Subscription, until such overdue amounts are paid in full.
9. Suspension, Termination, and Survival
9.1. Term.
The term of these Terms commences on the date when you accept these Terms (as described in the preamble above) and continues in full force and effect while you use the Services, unless terminated earlier in accordance with these Terms.
9.2. Effect of Termination.
Upon termination of the Services or the applicable feature or functionality thereof, your right to use the Services or the applicable feature or functionality will automatically terminate, and we may delete User Content from our live databases. If we terminate your Account for cause, we may also bar your further use or access to the Services. OwlU will not have any liability whatsoever to you for any suspension or termination, including for deletion of User Content.
9.3. Suspension and Termination.
We reserve the right to suspend or terminate your access to our Services and/or your Account if: (a) You have breached these Terms or our Acceptable Use Policy, (b) You use our Services in a manner that would cause a real risk of harm or loss to other OwlU users or us, or (c) You have a Free Subscription and you haven’t accessed the Services for at least 12 consecutive months. Before suspending or terminating your access to the Services and/or Account for one of the issues outlined immediately above, we will provide you with reasonable advance notice via the email address associated with your Account so that you have an opportunity to remedy the issue. If you fail to promptly remediate the issue after such notice, we will, at our discretion, either suspend or terminate your access to our Services and/or your Account. Notwithstanding the foregoing, we will not provide you advance notice before suspension or termination where we believe that (x) you are in material breach of these Terms or our Acceptable Use Policy, (y) doing so would cause us legal liability or compromise our ability to provide our Services to our other users, or (z) the law prohibits us from doing so. We may terminate these Terms at any time without liability to you.
9.4. Survival.
Upon expiry or termination of these Terms or your Account for any reason, all the sections within these Terms that one would reasonably expect to survive will survive, including, but not limited to, “Warranty Disclaimers,” “Limitation of Liability,” “Arbitration and Dispute Resolution Agreement,” “Miscellaneous Legal Terms,” “Reservation of Rights,” “Fees, Billing and Payment,”, and “Ownership and License of User Content”. Termination does not cancel or otherwise affect any amounts owed by you before the termination took effect.
10. Warranty Disclaimers
10.1. General Disclaimer.
THE SERVICES ARE PROVIDED TO YOU ON AN “AS IS,” AND “AS AVAILABLE” BASIS, WITHOUT REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. WITHOUT LIMITING THE FOREGOING, OWLU AND OUR AFFILIATES, SUPPLIERS, AND DISTRIBUTORS (COLLECTIVELY, THEY ARE THE “OWLU ENTITIES”) DO NOT WARRANT THAT THE OPERATION OF THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR BE ERROR-FREE. OWLU AND THE OWLU ENTITIES EXPRESSLY DISCLAIM ALL WARRANTIES AND CONDITIONS, EXPRESS OR IMPLIED, REGARDING THE SERVICES, INCLUDING, BUT NOT LIMITED TO, ANY IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. SOME JURISDICTIONS MAY PROHIBIT A DISCLAIMER OF WARRANTIES, AND YOU MAY HAVE OTHER RIGHTS THAT VARY FROM JURISDICTION TO JURISDICTION.
10.2. Outputs Disclaimer.
OWLU AND THE OWLU ENTITIES DO NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE OUTPUTS THAT MAY BE GENERATED FROM USE OF GENERATIVE AI FEATURES, INCLUDING WITH RESPECT TO THE FACTUAL ACCURACY OF ANY OUTPUTS OR SUITABILITY FOR YOUR USE-CASE. ALL OUTPUTS ARE PROVIDED “AS IS” AND WITH “ALL FAULTS.” YOU UNDERSTAND AND AGREE THAT YOUR USE OF ANY GENERATIVE AI OUTPUTS IS DONE AT YOUR SOLE RISK. DUE TO THE CURRENT NATURE OF GENERATIVE AI TECHNOLOGY, YOU SHOULD NOT RELY ON OWLU’S GENERATIVE AI AS A SINGLE SOURCE OF FACTUAL INFORMATION. NO INFORMATION OR ADVICE, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM OR THROUGH OWLU OR THE OWLU ENTITIES WILL CREATE ANY WARRANTY NOT EXPRESSLY MADE IN THESE TERMS. LAWS AND REGULATIONS GOVERNING USE OF GENERATIVE ARTIFICIAL INTELLIGENCE ARE RAPIDLY EVOLVING, AND OWLU DOES NOT GUARANTEE THAT YOUR USE OF THE SERVICES OR OUTPUT WILL COMPLY WITH APPLICABLE LAWS AND REGULATIONS OR THAT FUTURE LAWS AND REGULATIONS WILL NOT IMPACT YOUR USE THEREOF. YOU ARE SOLELY RESPONSIBLE FOR ENSURING THAT YOUR USE OF THE SERVICES AND ANY OUTPUT COMPLIES WITH ALL APPLICABLE LAWS.
10.3. Owlu Email Client Disclaimer and Release.
OWLU AND THE OWLU ENTITIES DO NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING THE INFORMATION THAT YOU RECEIVE FROM OWLU OR OTHERWISE OBTAIN ABOUT THE RECIPIENTS OF YOUR EMAILS SENT USING THE SERVICES (“PERSONAL INSIGHTS”). OWLU AND THE OWLU ENTITIES ARE NOT RESPONSIBLE FOR THE ACCURACY, AVAILABILITY, OR RELIABILITY OF ANY PERSONAL INSIGHTS. FURTHER, YOU ACKNOWLEDGE AND AGREE THAT OWLU AND THE OWLU ENTITIES DO NOT CONTROL THE CONTENT YOU TRANSMITTED USING THE SERVICES (“EMAIL CONTENT”) OR WHAT DIRECT AND DOWNSTREAM RECIPIENTS OF THAT EMAIL CONTENT (COLLECTIVELY, “RECIPIENTS”), MAY DO WITH SUCH EMAIL CONTENT (INCLUDING FORWARDING ON SUCH EMAIL CONTENT). YOU AGREE THAT OWLU AND THE OWLU ENTITIES WILL HAVE NO LIABILITY, AND HEREBY RELEASE OWLU FROM ANY LIABILITY, ARISING FROM (I) USE OR RELIANCE ON PERSONAL INSIGHTS AND (II) ANY ACT OR OMISSION OF ANY RECIPIENT WITH RESPECT TO EMAIL CONTENT.
11. Limitation of Liability
11.1. Limitation on Liability Amounts.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OWLU AND THE OWLU ENTITIES' TOTAL AGGREGATE LIABILITY TO YOU UNDER THESE TERMS EXCEED THE AMOUNT THAT YOU HAVE PAID IN FEES TO OWLU OR THE OWLU ENTITIES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT(S) GIVING RISE TO SUCH LIABILITY. HOWEVER, IF THAT AMOUNT IS ZERO BECAUSE YOU HAVE A FREE SUBSCRIPTION, OWLU AND THE OWLU ENTITIES’ TOTAL AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED DOLLARS ($100).
11.2. Limitations on Types of Damages.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL OWLU AND THE OWLU ENTITIES’ BE LIABLE TO YOU OR OTHERWISE RESPONSIBLE FOR (I) ANY LOST PROFITS, LOST OR DAMAGED USER CONTENT OR OTHER DATA, OR FAILURE TO MEET ANY DUTY, INCLUDING WITHOUT LIMITATION GOOD FAITH AND REASONABLE CARE, AND (II) ANY INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER.
11.3. Basis of the Bargain; Limitation Beneficiaries; As Permitted Under Local Laws.
YOU AGREE THAT THE LIMITATIONS OF LIABILITY CONTAINED IN SECTIONS 11.1 AND 11.2 REPRESENT A REASONABLE ALLOCATION OF RISK AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND OWLU (OR IF APPLICABLE, THE RELEVANT OWLU ENTITIES). YOU UNDERSTAND OUR SERVICES WOULD NOT BE PROVIDED TO YOU WITHOUT SUCH LIMITATIONS. YOU FURTHER AGREE THAT THE OWLU ENTITIES ARE INTENDED THIRD-PARTY BENEFICIARIES OF SECTION 11. CERTAIN COUNTRIES AND US STATES DO NOT ALLOW THE LIMITATION OF CERTAIN TYPES OF DAMAGES OR DAMAGE AMOUNTS. IN CASES WHERE THAT IS APPLICABLE, YOU AGREE THAT OWLU AND THE OWLU ENTITIES’ LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMISSIBLE UNDER THE LAW APPLICABLE TO THESE TERMS.
12. Arbitration and Dispute Resolution Agreement
If you’re upset with us, let us know, and we’ll work together in good faith to resolve your issue. If we can’t resolve it, then you and OwlU agree to submit our disputes exclusively to binding individual arbitration, and we won’t sue each other in court before a judge or jury, except in the limited circumstances described below. This Section 12 (the “Arbitration Agreement”) applies to the fullest extent allowable by law.
12.1. Disputes We’ll Arbitrate
You and OwlU agree to mandatory individual arbitration for all claims arising out of or relating in any way to: your access to or use of the Services, the Apps, or the Site; these and prior versions of the Terms; any products, data, or content bought, sold, offered, accessed, displayed, transmitted, or listed through the Services, the Apps, or the Site; and any actions or statements by OwlU, in each case including disputes that arose before the effective date of these Terms (each, a “Dispute”).
Exceptions. We each may:
- bring qualifying individual claims in small claims court, so long as those claims remain in small claims court; and
- seek injunctive relief in court for infringement or misuse of intellectual property rights.
All other Disputes must be arbitrated, which means you and OwlU are each waiving the right to sue in court and to have a court or jury trial.
12.2. Informal Dispute Resolution
Before filing an arbitration, you and OwlU will try in good faith to resolve any Dispute informally.
Notice of Dispute. To start the dispute process, you must send an individualized written notice (“Notice of Dispute”) to jay@owlu.site or by regular mail to:

Your Notice of Dispute must include:
- your name, phone number with country code, the email address for your account, and your username; and
- a description of the Dispute and how you would like it resolved.
If OwlU has a Dispute with you, we will send a Notice of Dispute with the same information to the email address associated with your account. The Notice of Dispute must be signed by the party initiating the Dispute (i.e., either you personally or an OwlU representative).
Informal Resolution Period. Once a complete Notice of Dispute has been received, the recipient has 60 days to investigate the claims. If either side requests a settlement conference during this period, you and OwlU must cooperate to schedule a meeting by phone or videoconference. You and OwlU will personally participate and may each bring counsel, but the conference must be individualized, even if the same firm(s) represent multiple parties.
For the claims in the Notice of Dispute, any statute of limitations will be tolled from the date the notice is received until the later of: (i) 60 days, or (ii) completion of a timely requested settlement conference (the “Informal Resolution Period”).
No arbitration may be filed until the Informal Resolution Period has ended, and a court may enjoin the filing or prosecution of an arbitration in breach of this Section 12.2.
12.3. Waiver of Class and Other Non-Individualized Relief
You and OwlU agree that each of us may bring claims against the other only on an individual basis, and not on a class, representative, or collective basis (and we each waive any right we have to bring such claims). We may only seek or obtain individualized relief, and Disputes between us cannot be arbitrated or consolidated with those of any other person or entity, except as provided in Section 12.6 (Mass Arbitration; Batching).
If there is a final decision (after exhaustion of all appeals) that any part of this Section 12.3 is unenforceable as to a particular claim or request for relief, then only that particular claim or request for relief will be severed from arbitration and may be litigated in state or federal courts located in the United States that have jurisdiction, including (at the claimant’s election): (a) the courts located in the county where the claimant resides, or (b) the courts located in San Francisco County, California (but only after the arbitrator issues an award on the arbitrable claims and remedies).
This Section 12.3 does not prevent you or OwlU from participating in a class-wide or mass settlement of claims.
12.4. Rules, Forum, and Procedure (Including Small Claims Exception)
Small Claims Exception. Notwithstanding anything to the contrary in this Arbitration Agreement, either you or OwlU may bring an individual action in a small claims court in the county (or equivalent) where you reside (if you are a U.S. resident) or in San Francisco County, California, provided that the dispute qualifies for and remains in small claims court and proceeds only on an individual basis.
Governing law for arbitration. The Federal Arbitration Act, 9 U.S.C. § 1 et seq. (the “FAA”), will govern the interpretation and enforcement of this Arbitration Agreement.
Arbitration provider and rules. To initiate arbitration, either you or OwlU must file a demand for arbitration with the American Arbitration Association (“AAA”) in accordance with the AAA Consumer Arbitration Rules and Mediation Procedures then in effect, as supplemented, where applicable, by the AAA’s Mass Arbitration Supplementary Rules (and any applicable AAA fee schedules) (collectively, the “AAA Rules”), and as modified by this Arbitration Agreement.
Service of demand. You must serve OwlU with any arbitration demand by email to jay@owlu.site and by regular mail to:

If OwlU has a dispute with you, OwlU will send an arbitration demand to the email or mailing address associated with your account.
If AAA cannot administer. If AAA cannot or will not administer the arbitration in accordance with this Section 12, you and OwlU will select another arbitration provider. If we cannot agree, a court of competent jurisdiction will appoint the provider.
Format and location. The arbitration will be conducted in the English language by a single arbitrator. Unless otherwise agreed by the parties or ordered by the arbitrator:
(i) if the amount in dispute is less than $25,000, the arbitration will be documents-only (no in-person or telephonic hearing); and
(ii) if the amount in dispute is $25,000 or more, the arbitration will be held by videoconference with no in-person hearing.
If an in-person hearing is required, it will be held in the county where you live (for U.S. residents) or at another location determined by the arbitrator as necessary for fairness or efficiency (including in the case of Mass Arbitration batching).
Arbitrator authority. The arbitrator will have exclusive authority to resolve any Dispute, including disputes regarding the interpretation or application of the Arbitration Agreement, including enforceability, revocability, scope, or validity, except that all Disputes regarding the subsection entitled “Waiver of Class and Other Non-Individualized Relief,” including any claim that all or part of that subsection is unenforceable, illegal, void or voidable, or that such subsection has been breached, will be decided by a court of competent jurisdiction and not by an arbitrator.
Relief. Except as provided in Section 12.6 (Mass Arbitration; Batching), the arbitrator may award damages and other relief only in favor of the individual claimant and only to the extent necessary to provide relief warranted by the claimant’s individual claim(s). The arbitrator will not be bound by decisions reached in other arbitrations.
Finality. The arbitrator’s award is final and binding on you and OwlU, and judgment on the award may be entered in any court with jurisdiction.
12.5. Arbitration Fees
Payment of all filing, case-management, administrative, hearing, and arbitrator fees (collectively, “Arbitration Fees”) will be governed by the AAA Rules and applicable AAA fee schedules, unless otherwise stated in this Arbitration Agreement.
Consistent with the AAA Consumer fee schedule, OwlU will pay the Arbitration Fees required of the business, and you will be responsible only for the consumer filing fee (if any) required by the AAA, unless the AAA Rules or the arbitrator provide otherwise.
Each party will bear its own attorneys’ fees and costs, except to the extent an applicable law or the arbitrator’s award provides otherwise.
12.6. Mass Arbitration; Batching
To ensure efficient resolution of Disputes, if within any 90-day period twenty-five (25) or more claimants submit Notices of Dispute and/or file demands for arbitration raising similar claims (i.e., with similar facts and legal issues) against OwlU, and those claimants are represented by the same or coordinated counsel (a “Mass Arbitration”), then the parties agree that the arbitration(s) will be administered in accordance with the AAA’s Mass Arbitration Supplementary Rules, as incorporated into this Arbitration Agreement.
Batches. Unless the parties agree otherwise in writing, the claims in a Mass Arbitration will proceed in batches of up to one hundred (100) claimants per batch (each, a “Batch”). The AAA will administer each Batch with a single arbitrator (or process arbitrator, if applicable under the AAA Mass Arbitration Supplementary Rules), one set of Arbitration Fees per Batch, and one hearing (if any) per Batch, which will be conducted by videoconference unless the arbitrator determines that an in-person hearing is necessary for fairness or efficiency.
Administration and process determinations. The parties will cooperate in good faith to implement the Batch process and minimize time and costs. Any disputes regarding whether a filing or set of filings qualifies as a Mass Arbitration, how claims should be batched, or other administrative determinations will be resolved in the manner provided by the AAA Mass Arbitration Supplementary Rules, including through a process arbitrator where applicable.
Severability. If this Section 12.6 is deemed unenforceable as to a particular claimant or Batch, then it will be severed only as to that claimant or Batch, and the remaining claim(s) will proceed in arbitration on an individual basis under the AAA Rules, unless the parties agree otherwise.
Effect of invalidity. If a court of competent jurisdiction determines that the Batch procedure described in this Section 12.6 is invalid or unenforceable in a manner that prevents the AAA from administering a Mass Arbitration consistent with this Arbitration Agreement, then the parties agree that the affected claims will proceed as individual arbitrations under the AAA Consumer Arbitration Rules, unless the parties agree to a different efficient process consistent with the AAA Rules.
12.7. 30-Day Right to Opt Out
If you are a new user of our Services, you can opt out of this Arbitration Agreement (excluding Section 12.9) within 30 days after you first accept the Terms. To opt out, you must send a timely email to jay@owlu.site with your name, the email address for your account, your username, and a request to opt out of this Arbitration Agreement.
Any opt-out notice will be effective only if you send it yourself, on an individual basis, and opt-out notices from any third party purporting to act on your behalf will have no effect on your or OwlU’s rights.
If you validly opt out, neither OwlU nor you will be required to arbitrate as a result of this (or any prior version of the) Arbitration Agreement, but the Terms (and any other agreements between us) will otherwise apply to you. Your opt-out notice will have no effect on prior versions of the arbitration clause to which you have agreed.
12.8. Modification
OwlU will notify you of material changes to this Arbitration Agreement at least 30 days before they become effective. You may reject future changes to the Arbitration Agreement by emailing jay@owlu.site within 30 days after you receive notice, including your name, email address associated with your account, and username.
Otherwise, you’ll be bound by the change, and the modified Arbitration Agreement will apply to all Disputes between you and OwlU, including those arising before the effective date of the changes, but excluding any claims pending in arbitration (or court, if permitted) as of the effective date.
If you reject a change, you’ll be bound by the most recent version of the Arbitration Agreement before the change you rejected.
12.9. Choice of Law and Forum
OwlU is based in Gwangju, Republic of Korea, and OwlU provides the Services to users in the United States and other countries.
If there are claims between you and OwlU that are not subject to arbitration (including claims that a court determines are not arbitrable), then, except as described in the Small Claims Exception above, you and OwlU agree to litigate those claims exclusively in state or federal courts located in the United States that have jurisdiction, including (at the claimant’s election): (a) the courts located in the county where the claimant resides (for U.S. residents), or (b) the courts located in San Francisco County, California, and each party agrees to submit to the personal jurisdiction of those courts.
Small claims. If you file an eligible claim in small claims court, you may do so in the county (or equivalent) of your residence, and OwlU will also bring any eligible small claims action against you only in the county (or equivalent) where you reside.
Governing law. Except as prohibited by law, these Terms will be governed by:
(i) the laws of the State of California, without regard to conflict-of-law rules; and
(ii) applicable U.S. federal law, including the Federal Arbitration Act (to the extent applicable to this Arbitration Agreement).
Opt-out clarification. For clarity, this Section 12.9 will continue to apply even if you validly opt out of arbitration under Section 12.7.
EEA and other restricted jurisdictions. If you are a resident in a member state of the EEA or in a country in which the Arbitration Agreement in this Section 12 is prohibited by local law, you may be entitled to invoke mandatory consumer protection laws of your country of residence, and/or to bring legal proceedings in the courts of that country. If OwlU needs to enforce its rights against you as an individual consumer in the EEA, we will do so only in your country of residence.
CISG excluded. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.
13. Miscellaneous Legal Terms
13.1. Entire Agreement.
These Terms, including the terms herein that are incorporated by reference, constitute the entire agreement between you and OwlU regarding our Services. They supersede any prior agreements between us.
13.2. Waiver, Severability, and Conflicting Terms.
Our failure to enforce any provision of these Terms is not a waiver of our right to do so later. Subject to Sections 12.3 and 12.6 above, if a provision is unenforceable, the remaining provisions will remain in full effect, and an enforceable term will be substituted with the goal of reflecting our intent as closely as possible. If there is a conflict between the documents referenced in these Terms, the documents will control in the following order, as applicable: the Acceptable Use Policy, the Data Privacy Addendum (if applicable); the Privacy Policy (if applicable); these Terms; and then the Documentation.
13.3. Third-Party Beneficiaries.
Except where expressly stated, these Terms do not confer any benefits on any third party.
13.4. Assignment.
You may not assign any of your rights or obligations under these Terms, and any such attempt will be void. We may assign or otherwise transfer our rights and/or obligations without restriction, including assigning to any of our affiliates or subsidiaries or any successor in interest of any business associated with the Services.
13.5. Force Majeure.
We will not be liable by reason of any failure or delay in the performance of our obligations on account of events beyond our reasonable control, which may include, but are not limited to, denial-of-service attacks, a failure by a third-party hosting provider or utility provider, acts of God, pandemics, acts of civil or military authorities, riots or civil disobedience, zombie apocalypse, wars, strikes or labor disputes.
13.6. Open Source.
To the extent any component of our software may be offered under open-source license terms (see here) for the lists of the open-source software that we use), the provisions of open-source licenses that we make available to you may expressly override some of the terms within these Terms. In addition, certain code distributed in and as part of the platform used to provide the Services may be licensed under or include components subject to open-source software licenses. Notwithstanding the foregoing, any use of open-source software as part of the Services must comply with these Terms.
13.7. Government.
Where applicable to United States government customers and end users, the Services are “commercial computer software” or a “commercial item” for purposes of FAR 12.212 and DFARS 227.7202. To the extent permitted within these Terms, use, reproduction, release, modification, disclosure, or transfer of the Services is governed solely by these Terms, and all other use is prohibited.
13.8. Notice.
Where OwlU requires that you provide an email address, you are responsible for providing OwlU with a valid and current email address. In the event that the email address you provide to OwlU is not valid, or for any reason is not capable of delivering to you any notices required by these Terms, OwlU’s dispatch of the email containing such notice will nonetheless constitute effective notice. Such notice shall be deemed given when received by OwlU by letter delivered by nationally recognized overnight delivery service or first class postage prepaid mail at the above address.
13.9. Copyright Policy; DMCA.
We respect artist and content owner rights, and it is our policy to respond to alleged infringement notices that comply with the Digital Millennium Copyright Act of 1998 (“DMCA”). If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible via the Services, please notify us. UNDER FEDERAL LAW, IF YOU KNOWINGLY MISREPRESENT THAT ONLINE MATERIAL IS INFRINGING, YOU MAY BE SUBJECT TO CRIMINAL PROSECUTION FOR PERJURY AND CIVIL PENALTIES, INCLUDING MONETARY DAMAGES, COURT COSTS, AND ATTORNEYS’ FEES. Please note that this procedure is exclusively for notifying us and our affiliates that your copyrighted material has been infringed. The preceding requirements are intended to comply with our rights and obligations under the DMCA, including 17 U.S.C. §512(c), but do not constitute legal advice. It may be advisable to contact an attorney regarding your rights and obligations under the DMCA and other applicable laws. In accordance with the DMCA and other applicable law, we have adopted a policy of terminating the Accounts of users who are deemed to be repeat infringers. 14. Additional Terms for Mobile Applications
14.1. Mobile Applications.
We may make available Apps to access the Services via a mobile device (which, for simplicity, will include tablets or other devices that make use of the mobile application) (“Mobile Applications”). To use any Mobile Applications, you must have a mobile device that is compatible with the Mobile Applications. We do not warrant that the Mobile Applications will be compatible with your mobile device. You may use mobile data in connection with the Mobile Applications and may incur additional charges from your wireless provider for these services. You agree that you are solely responsible for any such charges. We hereby grant you a non-exclusive, non-transferable, revocable license to use a compiled code copy of the Mobile Applications for one Account on mobile devices owned or leased solely by you, for your personal use. You acknowledge that we may, from time to time, provide updated versions of the Mobile Applications, and may automatically electronically update the version of the Mobile Applications that you are using on your mobile device. You consent to such automatic updating on your mobile device, and agree that the Agreement will apply to all such updates. Any third-party code that may be incorporated in the Mobile Applications is covered by the applicable open source or third-party license EULA, if any, authorizing use of such code. The foregoing license grant is not a sale of the Mobile Applications or any copy thereof, and we or our third-party partners or suppliers retain all right, title, and interest in the Mobile Applications (and any copy thereof). Any attempt by you to transfer any of the rights, duties or obligations hereunder, except as expressly provided for in these Terms, is void. We reserve all rights not expressly granted under these Terms.
14.2. Mobile Applications from Apple App Store.
The following applies to any Mobile Applications acquired from the Apple App Store (“Apple-Sourced Software”): you acknowledge and agree that these Terms are made and entered into solely between you and OwlU, not Apple, Inc. (“Apple”) and that Apple has no responsibility for the Apple-Sourced Software or content thereof. Your use of the Apple-Sourced Software must comply with the App Store Terms of Service. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Apple-Sourced Software. In the event of any failure of the Apple-Sourced Software to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Apple-Sourced Software (if any); to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Apple-Sourced Software, and any other claims, losses, liabilities, damages, costs or expenses attributable to any failure to conform to any warranty will be solely governed by these Terms and any law applicable to us as provider of the software. You acknowledge that Apple is not responsible for addressing any claims by you or any third party relating to the Apple-Sourced Software or your possession and/or use of the Apple-Sourced Software, including, but not limited to: (a) product liability claims; (b) any claim that the Apple-Sourced Software fails to conform to any applicable legal or regulatory requirement; and (c) claims arising under consumer protection or similar legislation; and all such claims are governed solely by these Terms and any law applicable to us as provider of the software. You acknowledge and agree that, in the event of any third-party claim that the Apple-Sourced Software or your possession and use of that Apple-Sourced Software infringes that third party’s intellectual property rights, Apple will not be responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim. You and we acknowledge and agree that Apple, and Apple’s subsidiaries, are third-party beneficiaries of the Agreement as relates to your license of the Apple-Sourced Software, and that, upon your acceptance of the terms and conditions that make up these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms as relates to your license of the Apple-Sourced Software against you as a third-party beneficiary thereof.
14.3. Mobile Applications from Google Play Store.
The following applies to any Mobile Applications you acquire from the Google Play Store (“Google-Sourced Software”): (i) you acknowledge that these Terms are made and agreed to as between you and OwlU only, and not with Google, Inc. (“Google”); (ii) your use of Google-Sourced Software must comply with Google’s then-current Google Play Store Terms of Service; (iii) Google is only a provider of the Google Play Store where you obtained the Google-Sourced Software; (iv) OwlU, and not Google, is solely responsible for its Google-Sourced Software; (v) Google has no obligation or liability to you with respect to Google-Sourced Software or these Terms; and (vi) you acknowledge and agree that Google is a third-party beneficiary to the Terms as it relates to our Google-Sourced Software.
